Contract Between Two Parties
This Contract is made and entered into on [date], between [Your Company Name], a company organized and existing under the laws of [state/country], with its principal office located at [Your Company Address], hereinafter referred to as "Company," and [Counterparty's Name], a company with its principal office located at [Counterparty's Address], hereinafter referred to as "Counterparty."
Purpose:
This Contract sets forth the terms and conditions under which the parties agree to collaborate on the development and implementation of a marketing campaign for [Your Company Name]'s new product launch.
Term:
The term of this Contract shall commence on [start date], being the date of signing, and continue until [end date], which shall be six months from the start date unless earlier terminated under the provisions herein.
Scope of Services:
The company agrees to provide comprehensive marketing services, including but not limited to market research, content creation, and social media management, to promote [Your Company Name]'s new product. The counterparty agrees to provide necessary product information and collaborate with the Company on campaign strategies. Further details are outlined in Exhibit A attached hereto.
Payment Terms:

Confidentiality:

Termination:
Either party may terminate this Contract upon 30 days prior written notice to the other party in the event of a material breach of the terms herein.
Governing Law and Jurisdiction:
This Contract shall be governed by and construed under the laws of the state of California, USA. Any disputes arising out of or in connection with this Contract shall be resolved through arbitration in San Francisco, California, following the rules of the American Arbitration Association, unless otherwise agreed upon by the parties.
Entire Agreement:
This Contract constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior agreements, whether written or oral.
Amendments:
Any amendments to this Contract must be made in writing and signed by both parties.
Counterparts:
This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute the same instrument.
