INDEPENDENT CONTRACTOR CONTRACT

This Independent Contractor Agreement ("Agreement") is made and entered into this [Date] by and between [Your Company Name], a company incorporated and existing under the laws of [Your Country], with its principal place of business at [Your Company Address] (hereafter referred to as "Party A"), and [Party B Name], an individual whose address is [Party B Address] (hereafter referred to as "Party B").

1. ENGAGEMENT AND SCOPE OF WORK

Party A hereby engages Party B, and Party B agrees to provide freelance web development services, more specifically, the creation of a custom e-commerce website, as more fully described in Exhibit A attached hereto (the "Services").

2. COMPENSATION

For the Services rendered by Party B under this Agreement, Party A shall pay a fee to Party B in the total amount of [Amount] to be paid under the payment schedule outlined in Subsection 2.2 Invoicing.

2.1 Payment Terms

In consideration for the services provided, the Company shall compensate the Contractor at the rate of [Rate] per [Hour/Project].

2.2 Invoicing

3. TERM AND TERMINATION

Either party may terminate this Contract upon written notice to the other party in the event of a material breach of the terms herein.

4. INDEPENDENT CONTRACTOR

Party B undertakes the Services as an independent contractor and not as an employee of Party A.

4.1 Relationship of the Parties

The parties acknowledge and agree that the Contractor is an independent contractor and not an employee, agent, or partner of the Company.

4.2 Tax Responsibilities

As such, the Contractor shall be solely responsible for payment of all taxes, including income taxes and self-employment taxes, arising from the compensation received under this Contract.

5. CONFIDENTIALITY

Party B shall maintain in confidence all proprietary information received from Party A and shall not divulge it to any third party without the written consent of Party A.

5.1 Non-Disclosure

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement.

5.2 Exceptions

The Contractor shall not disclose, use, or permit the use of such information for any purpose other than the performance of the services outlined in this Contract, both during and after the termination of the engagement, except as required by law.

6. INTELLECTUAL PROPERTY

All intellectual property rights in the work product of the Services will belong to Party A upon payment in full for the Services.

• Ownership

  The Company shall retain ownership of any intellectual property developed or created by the Contractor during the engagement.

• License

  However, the Contractor grants the Company a non-exclusive, royalty-free license to use such intellectual property solely for the purposes outlined in this Contract.

7. INDEMNIFICATION

Each party agrees to indemnify and hold harmless the other party from and against all losses, damages, liabilities, costs, and expenses arising from any breach of this Agreement.

8. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of [Incorporation Country]

8.1 Grounds for Termination
