Affiliate Contract

This Contract ("contract") is made and entered into this June 10, 2050, by and between [Your Company Name], a corporation organized and existing under the laws of the State of California, with its head office located at 151 Arbutus Drive
Miami Springs, FL 33166, herein referred to as "Party A", and [Marketing Agency's Name], a corporation organized and existing under the laws of the State of California, with its head office located at 4126 University Drive Chicago, IL 60603, herein referred to as "Party B".

1. Terms of Partnership

The partnership is scheduled to begin on the specified [Start Date] and is expected to continue through to the defined [End Date]. Nevertheless, in case there is a need for an earlier termination, measures have been put in place under the terms and conditions of this Agreement to accommodate such an instance.

2. Marketing Responsibilities

Party B agrees to advertise, market, promote, andor use its best efforts to sell Party A’s product. Party B shall market the product to prospective customers using marketing methods in compliance with all applicable laws and regulations.

3. Commission Rates

Party A agrees to provide [Agreed Commission Rate]% commission to Party B based on the direct sales of [Product Name]. Commission will be payable only for sales that are valid, genuine, and are paid for in full by the customer.

4. Payment Term

Payments shall be made by Party A to Party B no later than the [Payment Date] of each month for all commissions earned in the preceding month. All payments shall be made in USD via [Preferred Payment Method] to Party B’s account.

5. Termination

Either Party may terminate this Agreement at any time by providing a written notice of thirty (30) days to the other Party. In the event of termination, payments for all completed and invoiced transactions will be made to Party B.

6. Confidentiality

Both Parties agree to treat all information obtained from the other Party as confidential and shall not disclose such information to any third party without the prior written consent of the other Party.

7. Governing Law and Dispute Resolution
