CONTRACT FOR EXTERNAL SALES TRAINERS
This Agreement is entered into this [Month Day, Year], between [Your Company Name], a corporation duly incorporated under the laws of [State/Country], having its principal place of business at [Your Company Address], hereinafter referred to as the "Company"; and [Your Partner Company Name], an entity duly organized and existing under the laws of [State/Country], with its registered address at [Your Partner Company Address], hereinafter referred to as the "Trainer."
WHEREAS, the Company desires to avail of specialized sales training services, and the Trainer possesses the expertise to offer such services;
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
Scope of Services
Purpose of Agreement
The Trainer shall provide external sales training services as outlined in Addendum A, attached hereto.
Training Modules
The Trainer will deliver modules covering, but not limited to, advanced selling techniques, customer relationship management, and sales analytics.
Terms and Payment
Payment Terms
The Trainer shall be compensated as agreed upon in Addendum B, attached hereto.
Expenses
Any expenses incurred by the Trainer in the provision of services must be approved in advance by the Company and will be reimbursed as outlined in Addendum C.
Confidentiality
The parties hereto commit to uphold the strictest confidentiality regarding all proprietary information of the Company, including but not limited to customer databases and any data deemed confidential. The obligation to maintain confidentiality shall persist indefinitely, extending beyond the term of this Agreement.
Termination
This Agreement may be dissolved by either party, provided that written notification is delivered at least thirty (30) calendar days in advance of the proposed termination date. This notice period is mandatory to ensure orderly termination of the Agreement.
Governing Law
This Agreement is to be interpreted and enforced in accordance with the laws of the State of [State], exclusive of its conflict of laws principles. Any disputes arising out of or in connection to this Agreement shall be resolved firstly through arbitration. If arbitration is unsuccessful, disputes shall be litigated in the competent courts within the specified State.
Amendments
Modifications or amendments to this Agreement are only valid if put in writing and duly signed by authorized representatives of both parties. This written requirement ensures that all changes are deliberate and mutually agreed upon.
Miscellaneous
This Agreement, along with any appendices attached hereto, embodies the whole agreement between the involved parties, superseding all prior negotiations, understandings, or agreements, whether oral or in writing. This clause confirms that the Agreement and its attachments constitute the complete and exclusive statement of the terms agreed upon by the parties.
