Freelance Project Manager Contract

This Agreement ("Agreement") is entered into as of the [Effective Date] by and between [Your Name], hereinafter referred to as "Project Manager" and [Business Owner's Full Name], hereinafter referred to as the "Business Owner". Both parties may be referred to collectively as the "Parties".

SCOPE OF SERVICES

The Project Manager ("Manager") agrees to provide project management services ("Services") to the Business Owner ("Owner") as described in the attached Statement of Work ("SOW"), incorporated into this Agreement by reference. The Manager will report directly to the Owner and will coordinate all interactions with other third parties if needed.

TERMS AND PAYMENT

The Manager will provide Services to the Owner for 12 months beginning on April 1, 2024. Payment for Services will be made by the Owner to the Manager on or before the 15th of each month.

• Total project fee or hourly rate, as specified in the SOW: $5,000 per month.

• Invoicing Frequency: Monthly.

• Accepted payment methods: Bank transfer or check.

CONFIDENTIALITY

The Manager will keep confidential any non-public information obtained during providing the Services and will only use such information solely to provide Services to the Owner.

• Project plans and strategies.

• Financial information.

• Business processes and methodologies.

OWNERSHIP OF MATERIALS AND INTELLECTUAL PROPERTY

All materials and results produced by the Manager in connection with the Services will be the exclusive property of the Owner.

• Project documentation.

• Deliverables.

• Intellectual property rights developed during the project.

TERMINATION

Either Party may terminate this Agreement by providing [Termination Notice Period] written notice to the other Party.

• A material breach of contract.

• Failure to meet project milestones.

• Mutual agreement by both Parties.

INDEMNIFICATION

Both Parties agree to indemnify and hold harmless each other from any losses, damages, and liabilities arising out of this Agreement.

• Legal expenses.

• Claims from third parties.

• Damages resulting from project delays or errors.

GOVERNING LAW

This Agreement will be governed by the [Applicable Business Laws] of the [Jurisdiction/City] in the [Country].
