Independent Consultant Contract
This Independent Consultant Contract (the "Contract"), dated [Insert Date], is entered into by and between [Client's Name], located at [Client's Address] and [Your Name] located at [Your Company Address].
1. Engagement & Services
The Client hereby engages the Freelancer to provide services as outlined in the Statement of Work (SOW) attached hereto. The Freelancer agrees to perform the services described in the SOW with due diligence and in a professional manner.
2. Term
This Contract shall commence on the Effective Date and continue until the completion of the services specified in the SOW or until terminated as provided herein. Either party may terminate this Contract upon written notice to the other party.
3. Compensation

4. Confidentiality

The Freelancer shall not disclose such Confidential Information to any third party without the prior written consent of the Client.
5. Intellectual Property
All intellectual property rights, including but not limited to copyrights, patents, and trade secrets, arising from the services provided by the Freelancer under this Contract shall belong exclusively to the Client. The Freelancer hereby assigns all such rights to the Client and agrees to execute any documents necessary to effectuate such assignment.
6. Termination
Either party may terminate this Contract upon written notice to the other party in the event of a material breach of the terms herein or for any other reason upon [Insert Number] days' notice.
