Talent Management Contract
This Talent Management Contract ("Contract") is entered into this [Date], by and between [Talent Management Agency], a company organized under the laws of [Country], with its principal place of business at [Agency Address] ("Agency") and [Talent], residing at [Talent Address] ("Talent") (collectively, the "Parties").
1. Engagement of Services
1.1 Agency Commitments: The Talent hereby engages the Agency to act as their exclusive talent representative for the duration of this Contract. The Agency agrees to represent the Talent in their professional endeavors within the entertainment industry.
1.2 Agency Responsibilities: The Agency shall have the authority to negotiate, arrange, and secure engagements, contracts, endorsements, sponsorships, and other opportunities on behalf of the Talent. The Talent agrees to promptly inform the Agency of any offers or opportunities received independently.
2. Scope of Representation
2.1 Services Provided by the Agency: The Agency shall provide comprehensive representation services to the Talent, including but not limited to:
Securing auditions, meetings, and opportunities for the Talent.
Negotiating contracts, agreements, and terms with potential employers, producers, and collaborators.
Advising the Talent on career development, image management, and professional opportunities.
2.2 Talent's Responsibilities and Cooperation: The Talent agrees to cooperate fully with the Agency and provide all necessary information, materials, and availability for representation purposes.
3. Exclusivity
The Talent agrees to grant the Agency exclusive rights to represent them in all matters related to their professional career within the entertainment industry. The Talent shall not engage with any other talent agency or representative for the duration of this Contract.
4. Duties Of Talent
4.1 Commission Payment Agreement: In consideration for the services provided by the Agency, the Talent agrees to pay the Agency a commission of 40% on all gross earnings generated through engagements secured by the Agency during the term of this Contract.
4.2 Deduction of Agency Commission: The Talent acknowledges that the Agency's commission shall be deducted from their gross earnings before any payments are made to the Talent.
5. Term and Termination
5.1 Term of Agreement: This Contract shall commence on the Effective Date and shall continue in full force and effect until terminated by either party upon 30 days' written notice.
5.2 Termination Provisions: Either party may terminate this Contract immediately in the event of a material breach by the other party, subject to the non-breaching party providing written notice of such breach and a reasonable opportunity to cure.
6. Governing Law
This Contract shall be governed by and construed in accordance with the laws of [Jurisdiction].
