Freelance Web Developer Contract
THIS CONTACT is entered into as of the [Date], by and between [Your Name], a Freelance Web Developer, whose principal place of business is at [Your Company Address] (hereinafter referred to as the "Developer") and [Client Name], whose principal place of business is at [Client Address] (hereinafter referred to as the "Client") collectively referred to as the "Parties".
SCOPE OF WORK
The Developer will, According to the terms and conditions of this Agreement, develop, design, and deliver a web-based application or website for the Client, as identified in further detail in the Statement of Work attached hereto.
COMPENSATION AND PAYMENT TERMS
The client is required to make payments to the developer according to the fee amounts that have been specified in the previously agreed-upon payment schedule.
DELIVERABLES AND OWNERSHIP
The Developer shall deliver all necessary files and documentation for the proper functioning of the website to the Client. Upon full payment of all invoices, the ownership of the website and the source code will be transferred to the Client.
WARRANTY AND MAINTENANCE
The Developer provides a warranty period of [Warranty Period] after the completion of the project. During this period the Developer will rectify any defects in the website free of charge.
CONFIDENTIALITY
Both parties agree to treat all information and data received from the other party as strictly confidential.
TERMINATION
Both parties have the right to terminate the contract with a written notice of [Notice Period]. In case of termination, all work done until the date of termination should be compensated according to the agreed payment terms.
INDEMNITY
Each party agrees to indemnify and hold the other party harmless from any damages, losses, liabilities, and expenses arising out of or in connection with any breach of this Agreement.
