THIS SALES REPRESENTATIVE CONTRACT (hereinafter referred to as the “Contract”) is made and entered into this [Date] (the “Effective Date”), by and between [Client Name], a company organized and existing under the laws of the [Country of Client] with its head office located at: [Client’s Address] (hereinafter "Client") and [Your Name], having its principal place of work at:[Your Address] (hereinafter "Sales Representative").

1. Appointment and Terms

Client appoints the Sales Representative as its independent contractor to promote and sell its products by the terms and conditions outlined in this Contract. This Contract does not create an employer-employee relationship between the Client and the Sales Representative. The relationship is that of independent contractors.

2. Duties of the Sales Representative

The Sales Representative shall use their best efforts in promoting, advertising, marketing, and selling the Client's Products or Services in the assigned territory.

3. Duties of the Client

The Client shall assist in the sales process including providing product training, sales literature and samples, and immediate customer service support as required.

4. Compensation

The Sales Representative shall be paid on a commission basis as agreed upon by both Parties. Payments shall be issued not later than the [Payment Date] of each month via certified check, money order, or bank transfer, as specified in the agreement between the Parties.

5. Terms of Contract

This Contract will begin on the Effective Date and will continue for a period of [Agreed Period]. Either party shall have the ability to terminate this Contract by serving written notice at least thirty (30) days in advance.

6. Indemnification

Either party agrees to indemnify, defend, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, franchises, and employees from all claims, actions, suits, damages, and liabilities arising from the breach of this contract.

7. Confidentiality

The Sales Representative agrees to hold all Confidential Information of the Client in strict confidence and shall not disclose such information unless required by law.

8. Dispute Resolution

Any controversies or disputes arising out of or relating to this Contract shall be resolved by arbitration or through the local courts of the [Country of Client].

9. Entire Contract

This Contract constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements, representations, and understandings between the Parties.
