Printable Service Contract
This Printable Services Agreement ("Agreement") is entered into this 24th day of January, 2050 (the "Effective Date"), by and between SurePlus a Corporation having its principal place of business at Houston, TX 77001 ("Party A"), and Eyefusion a Corporation, whose principal place of business is at San Diego, CA 92101 ("Party B").
1. SERVICES AND PERFORMANCE
Party A agrees to provide to Party B comprehensive product development services for the InnovateNow mobile application, including but not limited to design, development, and testing. The services provided shall be guided by a detailed product specification agreed upon by both parties.
2. COMPENSATION
Party B will pay, as full and complete consideration for all services rendered by Party A under this Agreement, an amount as per the terms and conditions provided in this Agreement. The Date of payment shall be agreed upon separately and stipulated in a year.
3. INTELLECTUAL PROPERTY
Upon full payment, Party B shall have sole and exclusive ownership of all rights, titles, and interests in and to the InnovateNow mobile application, including all intellectual property rights.
4. TERM AND TERMINATION
This Agreement shall commence on the Effective Date and shall extend until the completion of the Services, unless otherwise terminated in accordance with the terms of this Agreement.
5. CONFIDENTIALITY
Both Parties agree to keep confidential and not disclose to third parties any confidential information obtained from the other Party or in the course of fulfilling the obligations under this Agreement.
6. INDEMNITY
Each Party agrees to indemnify and hold harmless the other Party for any loss, cost, or damage of any kind from and against any and all claims, damages, liabilities, losses, costs, investigations, judgments, fines, penalties, suits, and proceedings.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction.
8. ENTIRE AGREEMENT
This Agreement constitutes the complete and final agreement of the Parties and supersedes all prior discussions, negotiations, agreements, and understandings.
SIGNATURES
IN WITNESS WHEREOF, the Parties hereto have executed this Product Development Services Agreement as of the Effective Date.
