IT Service Contract

IT SERVICE CONTRACT

This IT Service Contract ("Contract") is entered into on [Date], by and between [Your Company Name], with its principal place of business located at [Your Company Address] ("Service Provider"), and [Client Company Name], with its principal place of business located at [Client's Address] ("Client").

1. SERVICES

The Service Provider agrees to provide technical support services ("Services") to the Client, which include but are not limited to:

  • Diagnosis and resolution of technical problems with IT products or services.

  • Assistance with software and hardware configuration.

  • Guidance on the use of IT products or services.

  • Regular system maintenance and updates.

2. SERVICE LEVEL AGREEMENT (SLA)

  • Response Time: Service Provider shall respond to service requests within 4 hours of receipt.

  • Resolution Time: Service Provider aims to resolve issues within 2 business days, depending on the complexity of the problem.

  • Availability: Technical support services will be available to the Client from 8:00 AM to 6:00 PM, Monday through Friday.

3. COMPENSATION

  • The Client agrees to pay the Service Provider a monthly fee of $2,000 for the Services rendered under this Contract.

  • Payment shall be due within 30 days of invoice receipt.

4. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of proprietary information and not disclose it to any third parties without written consent from the other party.

5. TERM AND TERMINATION

  • This Contract shall commence on April 1, 2050, and shall continue in effect until March 31, 2051, unless terminated earlier as provided herein.

  • Either party may terminate this Contract by providing 30 days written notice to the other party.

6. LIMITATION OF LIABILITY

The Service Provider shall not be liable for any indirect, special, or consequential damages arising out of or related to the performance of the Services.

7. GOVERNING LAW

This Contract shall be governed by the laws of [State/Country].

8. AMENDMENTS

Any amendments to this Contract must be in writing and signed by both parties.

9. ENTIRE AGREEMENT

This Contract constitutes the entire agreement between the parties and supersedes all prior understandings or agreements, whether oral or written.
