HVAC Service Contract
This HVAC Service Contract Agreement (“Agreement”) is entered into on this [Contract Start Date], by and between [Your Company Name], a corporation organized and existing under the laws of the state, with a principal office located at [Your Company Address], [Your Company Number], hereinafter referred to as "Party A" and [Service Provider's Company Name], a corporation organized and existing under the laws of the state, with a principal office located at [Service Provider's Company Address], [Service Provider's Company Number], hereinafter referred to as "Party B".
1. SERVICES AND RESPONSIBILITIES
Party B shall perform routine maintenance and emergency repairs on the HVAC systems of the hotels owned and/or leased by Party A over one year. Party B shall also provide all necessary materials, labor, and equipment to complete the required services.
2. SCOPE OF WORK
Party B shall provide services to a total of 10 properties as listed in [Attachment A: List of Properties] attached to this Agreement.
3. TERM OF THE AGREEMENT
This Agreement shall commence on [Contract Start Date] and end on [Contract End Date] unless sooner terminated by the terms outlined in this Agreement.
4. PAYMENT TERMS
Party A agrees to pay Party B a total service fee of $50,000. Payment shall be made in installments according to the following schedule: [Payment Schedule].
5. WARRANTY
Party B shall warranty all work for twelve (12) months from the completion of each job. Any repairs necessary within the warranty period shall be made at no cost to Party A.
6. TERMINATION
Either party may terminate this Agreement by giving the other party thirty (30) days' written notice. In case of any breach of this Agreement, the non-breaching party also has the right to terminate this Agreement immediately.
7. INDEMNIFICATION
Both parties agree to indemnify and hold each other harmless against any claims, losses, liabilities, or expenses resulting from any failure to fulfill their respective obligations under this Agreement.
8. DISPUTE RESOLUTION
Any dispute that arises under or in connection with this Agreement shall be resolved through binding arbitration in the state of [State] in the county where the principal offices of Party A are located.
9. GOVERNING LAW
This Agreement shall be governed by and construed following the laws of the state where the principal offices of Party A are located.
