PROFESSIONAL CONTRACT
This comprehensive contract ("Contract"), dated this [EFFECTIVE DATE] (the "Effective Date"), is entered into between [YOUR COMPANY NAME], located at [YOUR COMPANY ADDRESS] ("Coach"), and [CLIENT FULL NAME], an individual of profession, residing at [YOUR CLIENT'S ADDRESS], ("Client").
SCOPE OF COACHING SERVICES
Coach, a seasoned and certified professional life coach, specializing in career and work-life balance strategies, agrees to provide Client with personalized, one-on-one coaching services.
These coaching sessions will be conducted in a professional, confidential, and secure environment, adhering to internationally accepted professional standards in the coaching industry.
The primary focus of the coaching relationship will include setting and achieving career goals, enhancing leadership skills, managing stress, and maintaining a healthy work-life balance.
Additionally, Coach may provide resources, exercises, and tools to support Client's personal and professional development.
TERM & SCHEDULE
This Contract shall be effective from the Effective Date and will remain in force for a period of three (3) months unless terminated earlier in accordance with the terms outlined in this Agreement.
Both Parties shall collaboratively determine the specific schedule of coaching sessions to ensure mutual convenience and commitment to the coaching process.
The frequency and duration of sessions will be tailored to meet the unique needs of Client, with adjustments made as necessary.
Any changes to the coaching schedule shall be communicated and agreed upon by both Parties in advance, fostering flexibility and responsiveness to Client's evolving needs.
CONFIDENTIALITY
Both Parties mutually agree that all discussions, information shared, and materials exchanged during coaching sessions shall remain strictly confidential.
Coach and Client commit to not disclosing any such information to third parties unless required by law or with explicit written consent from the other Party.
This confidentiality clause is essential to fostering a trusting and open coaching relationship.
It is understood that maintaining confidentiality is crucial for the effectiveness of the coaching process, allowing Client to explore personal and professional challenges openly.
Coach, in maintaining confidentiality, will employ industry-standard security measures to protect any digital or physical records pertaining to Client.
FEES & PAYMENT
Client acknowledges the professional services provided by Coach and agrees to pay the agreed-upon coaching fee, the specific amount of which will be outlined in the invoice sent by Coach.
Fees are payable on a monthly basis, with payment due no later than 20 calendar days after the invoice date. Late payments may be subject to additional charges, as specified in the invoice.
Coach reserves the right to adjust coaching fees with a 10-day notice to Client, providing transparency in the financial aspect of the coaching relationship.
Detailed invoices will be provided, outlining the services rendered and corresponding charges, ensuring transparency and accountability in the financial transaction between the Parties.
TERMINATION
Either Party reserves the right to terminate this Contract at any time, for any reason or for no reason, by providing the other Party with written notice in advance.
In the event of termination, Client shall be responsible for any outstanding fees accrued up to the termination date. Additionally, Coach will make reasonable efforts to complete ongoing coaching sessions and facilitate a smooth transition for Client.
Upon termination, Coach may provide recommendations or referrals to other qualified coaches or resources to support Client's continued personal and professional development. A termination clause will be included in the written notice, specifying any post-termination obligations or agreements between the Parties.
INDEPENDENT CONTRACTOR STATUS
Coach operates as an independent contractor and is not considered an employee, partner, legal representative, or franchisee of Client.
This agreement confirms that Coach has control over the methods and means used to deliver coaching services and is solely responsible for all associated business expenses.
Client acknowledges that Coach is not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, or paid time off.
Additionally, Coach is free to provide coaching services to other clients simultaneously, ensuring that Client receives the full benefit of Coach's expertise without exclusivity constraints.
LIMITATION OF LIABILITY
Coach's liability to Client is limited to direct damages and excludes any indirect, special, exemplary, or consequential damages, regardless of foreseeability or whether Client has been advised of the possibility of such damages.
This limitation of liability is agreed upon by both Parties and is a fundamental aspect of this contractual relationship. It is understood that the coaching process involves personal development and self-discovery, and results may vary based on individual commitment and efforts.
Coach's commitment to limiting liability aims to provide Client with a sense of security and confidence in the coaching process.
RECORDING OF SESSIONS
Upon mutual agreement between Coach and Client, coaching sessions may be recorded for educational or review purposes. Such recordings will be treated with the same confidentiality as live sessions.
Written consent from both Parties will be obtained before any recording takes place, and the recordings will be securely stored and used only for the specified purposes.
Client will have the option to request copies of recorded sessions for personal reference, promoting transparency and self-reflection in the coaching process.
ENTIRE AGREEMENT
Upon mutual agreement between Coach and Client, coaching sessions may be recorded for educational or review purposes. Such recordings will be treated with the same confidentiality as live sessions.
