Software Contract
This Software Contract (the "Agreement") is entered into on [Date], by and between [Client's Name], with a principal place of business at [Client's Address] ("Client"), and [Developer's Name], with a principal place of business at [Developer's Address] ("Developer").
1. Scope of Work
1 Development, Delivery, and Installation of the Software
The company agrees to develop, deliver, and install the software as described in Exhibit A attached hereto (the "Software").
1.2 Client Cooperation and Support
Client agrees to provide Company with all necessary cooperation, support, and access to information to facilitate the timely completion of the Software.
2. Delivery
2.1 Delivery of Software by Company
Company shall use commercially reasonable efforts to deliver the Software to Client by the delivery date specified in Exhibit A.
2.2 Notification of Defects by Client
Client shall promptly notify Company of any defects or issues with the Software upon delivery.
3. License
3.1 Subject to the terms and conditions of this Contract:
Grant of License: The company grants the Client a non-exclusive, non-transferable license to use the Software.
Scope of Use: The Software can be used by the Client for its internal business purposes only.
3.2 Client obligations:
Restrictions on Transfer: The client is prohibited from sublicensing, selling, distributing, or transferring the Software to any third party without obtaining prior written consent from the Company.
