Marketing Agency Contract
This Marketing Agency Contract (the “Contract”) is made and entered into as of this XXXX day of XXXX, 2050 (the “Effective Date”), by and between [Your Company Name], Inc., a company organized and existing under the laws of XXXX, with its primary place of business located at [Your Company Address] (hereinafter referred to as "Party A"), and [Party B Full Legal Name], a company duly established under the laws of XXXX with its main office location at [Party B Address] (hereinafter referred to as "Party B").
1. SERVICES
Party B agrees to develop and execute a comprehensive marketing strategy for Party A's new cutting-edge smartphone app, including but not limited to market research, advertising campaigns, social media management, and public relations activities. The detailed scope of work will be as per Exhibit A attached herewith.
2. TERMS OF PAYMENT
As full compensation for the services rendered under this Contract, Party A shall pay Party B a fee of [Fee], payable by the payment schedule outlined in Exhibit B attached herewith.
3. CONFIDENTIALITY
Party B agrees to maintain confidentiality concerning all proprietary information disclosed by Party A, including but not limited to trade secrets, business plans, and customer data, and not disclose it to third parties without obtaining explicit written consent from Party A. This obligation of confidentiality shall survive the termination or expiration of this Contract.
4. TERM AND TERMINATION
This Contract will commence on the Effective Date and continue until [End Date] unless earlier terminated according to the terms stipulated hereunder. Either party may terminate this Contract upon written notice if the other party breaches any material provision of this Contract and fails to remedy such breach within [number] days of receiving written notice thereof.
5. INDEMNITIES
