Marketing Influencer Contract
Parties
This Marketing Influencer Contract ("Agreement") is entered into effective as of [Date], between [Your Company Name], a [State] Corporation with its principal place of business at [Your Company Address] ("Company"), and [Influencer Name], an individual residing at [Influencer Address] ("Influencer").
Recitals
A. The Company is engaged in the business of [Describe Company’s Business].

Services
1.1 Scope of Work
Influencer agrees to provide promotional services on behalf of the Company for the products and/or services detailed in Exhibit A, attached hereto ("Services").

Influencer agrees to deliver the following:

Payment Terms
2.1 Compensation

Intellectual Property
3.1 Ownership
The Company shall exclusively own all rights, title, and interest in and to the content produced by the Influencer under this Agreement, including but not limited to copyrights, trademarks, and any derivative works thereof.

Influencer grants the Company a non-exclusive, worldwide, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, modify, adapt, display, and perform the content for promotional purposes across all media channels.
Confidentiality
Both parties agree to maintain the confidentiality of all confidential information, including but not limited to trade secrets, business plans, customer data, and financial information, obtained during the execution of this Agreement and thereafter.
Termination
5.1 Termination for Cause
Either party may terminate this Agreement if the other party breaches any of its obligations under this Agreement and fails to cure said breach within [Number] days after receiving written notice thereof.
5.2 Termination without Cause
Either party may terminate this Agreement without cause with [Number] days written notice.
Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to the activities under this Agreement.
Dispute Resolution

Governing Law
