1. Background
1.1 Party A is the owner of certain intellectual property rights, including but not limited to Intellectual Property, trademarks, and/or copyrighted assets that are used in connection with marketing campaigns and promotional activities.
1.2 Party B desires to obtain a license to use the intellectual property owned by Party A for the purpose of marketing and promotional activities.
2. Grant of License
2.1 Exclusive/Non-Exclusive License: Party A hereby grants Party B an exclusive license to use the intellectual property described in section 1.1 for the sole purpose of marketing and promotional activities related to marketing campaigns.
2.2 License Territory: The license granted herein is limited to the territory of Portland, Oregon

3. Rights and Obligations
