This Marketing Endorsement Contract ("Contract") is entered into on this 1st of October 2050 (the "Effective Date") between:

WHEREAS, the Brand is engaged in the business of producing high-quality athletic wear, and the Endorser is a renowned professional athlete known for their achievements in football;


NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

I. TERM

The term of this Contract shall commence on the Effective Date and continue for a period of 12 months, unless earlier terminated as provided herein ("Term").

II. COMPENSATION

In consideration for the Endorser's services, the Brand shall pay the Endorser the following compensation:

A flat fee of $50,000 for each promotional appearance.

An additional bonus of $10,000 for every 100,000 units sold achieved during the Term.

Reimbursement of reasonable travel and accommodation expenses related to promotional activities, subject to pre-approval by the Brand.

III. SCOPE OF ENDORSEMENT

The Endorser agrees to endorse and promote the following products/services of the Brand during the Term:

Athletic footwear, including running shoes, training shoes, and sneakers.

Athletic apparel, such as performance sportswear, activewear, and sport-specific clothing.

Sports equipment, including but not limited to sports balls, fitness accessories, and related gear.

IV. EXCLUSIVITY

During the Term, the Endorser shall not endorse or promote any products or services of a competing brand, directly or indirectly, without prior written consent from the Brand.

V. RIGHTS AND OBLIGATIONS

The Endorser agrees to:

Participate in photo shoots, video recordings, social media posts, and personal appearances as requested by the Brand.

Ensure all promotional activities are in alignment with the Brand's image and values.

Allow the Brand to use the Endorser's name, image, likeness, and any content created during the endorsement for marketing purposes.

Attend promotional events and interviews as reasonably requested by the Brand.

   

The Brand agrees to:

Provide the necessary resources and support for the Endorser to fulfill their obligations under this Contract.

Ensure that all materials and content produced are of high quality and suitable for the Endorser's image.

VI. INTELLECTUAL PROPERTY

Any intellectual property created during the endorsement, including but not limited to photographs, videos, and social media content, shall be owned jointly by both parties.

VII. TERMINATION

This Contract may be terminated by either party upon written notice if the other party materially breaches any provision herein. In such cases, the terminating party shall provide the breaching party 10 days to cure the breach.

VIII. CONFIDENTIALITY

The Endorser agrees to keep confidential all non-public information provided by the Brand during the Term.

IX. DISPUTE RESOLUTION

Any disputes arising under or in connection with this Contract shall be resolved through mediation in accordance with the rules of a reputable mediation service mutually agreed upon by the parties before resorting to legal action.

X. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of New York.
