Marketing Multimedia Licensing Contract
This Marketing Multimedia Licensing Contract ("Contract") is entered into on this October 2, 2050, by and between:

(Collectively referred to as the "Parties")
WHEREAS, Licensor owns certain multimedia materials, including but not limited to images, videos, audio recordings, and other marketing collateral (collectively referred to as "Materials");
WHEREAS, Licensee desires to license and use the Materials for marketing and promotional purposes;
NOW, THEREFORE, in consideration of the covenants and conditions contained herein, the Parties agree as follows:
1. Licensing of Materials
a. Grant of License
Licensor hereby grants Licensee a non-exclusive, non-transferable, worldwide license to use, reproduce, distribute, publicly display, and publicly perform the Materials for marketing and promotional purposes as specified in Section 2 of this Contract.
b. Scope of License
The license granted herein covers the following Materials:
Images, videos, and audio recordings
c. Usage Restrictions
Licensee shall not use the Materials for any purpose other than marketing and promotional activities specified in this Contract. Licensee shall not sublicense, transfer, or assign the license to any third party without the prior written consent of Licensor.
2. Permitted Usage
a. Marketing and Promotional Use
Licensee may use the Materials solely for marketing and promotional activities related to Licensee's products or services. Such usage may include, but is not limited to:

Incorporating Materials into advertising campaigns.

Displaying Materials on Licensee's website and social media platforms.

Using Materials in email marketing and printed promotional materials.

Publicly performing Materials at events and trade shows.
3. Compensation
a. Payment
Licensee shall compensate Licensor as follows:

Licensee shall pay Licensor a one-time licensing fee of $80.00 for the use of the Materials as described in this Contract.

Payment shall be made within 15 days from the date of this Contract.
4. Intellectual Property
a. Ownership
Licensor retains all rights, title, and interest in and to the Materials, including all copyrights and intellectual property rights. This Agreement does not transfer any ownership interest in the Materials to Licensee.
5. Term and Termination
a. Term
This Contract shall commence on the Effective Date and continue in effect until one year from the Effective Date.
b. Termination for Breach
Either Party may terminate this Contract upon written notice if the other Party breaches any material term or condition of this Contract and fails to cure such breach within 30 days after receiving written notice of the breach.
6. Governing Law
a. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws principles.
7. Entire Agreement
a. Entire Agreement
This Contract constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements, understandings, and representations.
