Marketing Brand Ambassador Contract

2. Scope of Work

Brand Ambassador agrees to actively and effectively promote, endorse, and represent the Company's products and services as outlined in Exhibit A, attached hereto and incorporated by reference.

3. Compensation

In consideration of the valuable services provided by the Brand Ambassador, the Company shall compensate the Brand Ambassador as follows:

Payment Method: Direct deposit, PayPal
Compensation Structure: The Brand Ambassador shall receive compensation as described in Exhibit B, which details the compensation structure and payment terms.
Payment Schedule: Payments shall be made monthly and shall commence on January 30, 2050.
Additional Benefits: The Company may provide the Brand Ambassador with free products, services, or promotional materials as specified in Exhibit B.

4. Term and Termination

Term: This Contract shall commence on the Effective Date and shall remain in effect for an initial term of 6 months.
Termination: Either party may terminate this Contract upon providing 30 days written notice. Immediate termination is permissible in the event of a material breach.

5. Ownership and Usage Rights

Content Ownership: All content created by the Brand Ambassador during the Contract, including but not limited to text, images, videos, and social media posts, shall be the exclusive property of the Company.
Usage Rights: The Company shall have the exclusive and irrevocable right to use, modify, distribute, and sublicense the content created by the Brand Ambassador for promotional purposes.

6. Confidentiality

Both Parties agree to maintain strict confidentiality regarding any proprietary or confidential information disclosed during the Contract term.

7. Code of Conduct and Brand Guidelines

The Brand Ambassador agrees to adhere to the Company's brand guidelines, act professionally, and represent the Company's products and services with the highest standards of integrity and quality.

8. Exclusivity

During the term of this Contract, the Brand Ambassador shall not endorse, promote, or engage with competing products or brands that may directly or indirectly conflict with the Company's products or services.

9. Indemnification

The Brand Ambassador shall indemnify and hold the Company harmless from any claims, liabilities, damages, costs, or expenses arising from the Brand Ambassador's actions, content, or representations.

10. Non-Disparagement

Throughout the Contract term and thereafter, the Brand Ambassador shall refrain from making any negative, disparaging, or damaging statements about the Company, its products, or services.

11. Governing Law

This Contract shall be governed by and construed in accordance with the laws of California, and any disputes shall be resolved through arbitration.

12. Amendments and Modifications

Any modifications, amendments, or additions to this Contract must be made in writing and signed by both Parties.
