6. Marketing Compliance

6.1 Vendor shall comply with all applicable marketing laws and regulations, including but not limited to the Federal Trade Commission Act, CAN-SPAM Act, and any state-specific regulations.


7. Indemnification

7.1 Vendor agrees to indemnify and hold harmless Company against any claims, liabilities, losses, and expenses arising out of or in connection with Vendor's breach of this Contract or any negligent or willful acts or omissions.


8. Insurance

8.1 Vendor shall maintain appropriate insurance coverage, including professional liability insurance, to cover any potential claims or liabilities arising out of the Services provided.


9. Governing Law

9.1 This Contract shall be governed by and construed in accordance with the laws of the state of [Your State], without regard to its conflict of law principles.


10. Entire Agreement

10.1 This Contract constitutes the entire agreement between the parties with respect to the Services and supersedes all prior agreements, oral or written, between the parties.


11. Amendments

Exhibit A - Scope of Services and Compensation

Scope of Services:

Vendor shall provide the following marketing services to Company:

  • Digital Marketing Campaign: Vendor will create and execute a digital marketing campaign, including search engine optimization (SEO), pay-per-click (PPC) advertising, and social media marketing, with the goal of increasing website traffic and lead generation.

  • Content Creation: Vendor will produce high-quality blog posts, articles, and infographics on relevant industry topics. These materials will be published on Company's website and shared on social media platforms.

  • Email Marketing: Vendor will manage Company's email marketing campaigns, including list management, content creation, and performance tracking. All email campaigns will comply with the CAN-SPAM Act.

  • Analytics and Reporting: Vendor will provide regular reports detailing the performance of the marketing campaigns, including key metrics such as website traffic, click-through rates, conversion rates, and ROI.

Compensation:

Company agrees to compensate Vendor as follows:

  • Monthly Fee: Company shall pay Vendor a monthly fee of $X, payable on the first day of each month for the duration of this Contract.

  • Additional Costs: Company shall reimburse Vendor for any pre-approved out-of-pocket expenses incurred in the course of providing the Services, subject to Company's prior written consent.
