ADVERTISING CONTRACT
This Contract is made on January 15, 2050 (the "Effective Date") between [Your Company Name] having its principal place of business at [Your Company Address] (the "Advertiser"), and [Advertising Agency Name] having its principal place of business at [Advertising Agency Address] (the "Agency").
1. SCOPE OF SERVICES
The Agency agrees to provide advertising services as more fully described in Schedule A, attached hereto and incorporated herein ("Services").
2. TERM AND TERMINATION
This Agreement shall commence on January 15, 2050, and continue until December 31, 2050, unless otherwise terminated in accordance as provided herein.
3. PAYMENT TERMS
The Advertiser shall pay the Agency a fee for the Services as outlined in Schedule B, attached hereto. Payments shall be made on the 15th day of each month.
4. CONFIDENTIALITY
Each Party agrees to treat all Confidential Information of the other Party as confidential and will not disclose such information to any other person without the other Party's prior written consent.
5. REPRESENTATIONS AND WARRANTIES
Each Party hereby represents and warrants that it has the necessary authority to enter into this Agreement and deliver on its obligations hereunder.
6. INDEMNIFICATION
Each Party agrees to indemnify and hold the other Party and its respective directors, officers, and employees harmless from any claims arising out of or related to the breach or alleged breach of any of its representations or warranties made under this Agreement.
7. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed by the laws of the [COUNTRY]. Any dispute arising under this agreement shall be subject to the exclusive jurisdiction of the [COUNTRY]'s courts.
8. THE ENTIRE AGREEMENT
