This Nursing Home Legal Contract ("Contract") is entered into on [Month, Day, Year] by and between [Your Company Name], a nursing home facility licensed under the laws of the state of [State], located at [Your Company Address], (hereinafter referred to as "the Facility") and [Resident Name], an individual with the capacity to enter into this Contract, and/or [Legal Representative Name], the legal representative authorized to act on behalf of the Resident, (collectively referred to as "the Resident"). This Contract outlines the terms and conditions under which the Facility will provide care and services to the Resident

1. Admission and Residency

1.1 Admission Process: The Resident agrees to provide complete and accurate information as required by the Facility for the admission process. The Facility reserves the right to deny admission based on its admission criteria.

1.2 Residency Terms: The individual who is designated as the Resident is hereby admitted for an indefinite term, meaning that it does not have a specified or predetermined ending point. However, this admission is granted with the condition that the Resident must fully comply with the policies that the Facility has set forth. Furthermore, the Resident must also adhere to each and every term that is stipulated within this Contract.

2. Services Provided

2.1 Basic Services: The Facility will provide the following basic services included in the regular fees: room and board, general nursing care, personal care assistance, dietary services, laundry, and social activities.

2.2 Additional Services: Services not included in the basic service package, such as specialized medical services, physical therapy, and certain personal services, will be provided at an additional cost as agreed upon.

3. Fees and Payment

3.1 Fee Structure: The Resident agrees to pay the fees as outlined below and in the more detailed Fee Schedule attached as Exhibit A to this Contract. All fees are subject to change with notice as per the terms of this Contract.

Room and Board:

  • Private Room: $5,000 per month.

  • Semi-Private Room: $4,000 per month.

Basic Nursing Care: Included in Room and Board.

  • This includes 24-hour access to nursing staff, medication administration, and basic daily living assistance.

Meals and Dietary Services: Included in Room and Board.

  • Three meals a day, plus snacks. Special dietary needs are accommodated as per medical recommendations.

Laundry Services: Included in Room and Board.

  • Weekly laundry services for personal clothing and linens.

  • Social and Recreational Activities: Included in Room and Board.

  • Access to all community-organized activities and use of communal facilities.

3.2 Additional Services: Fees for services not included in the basic package are as follows:

  • Physical Therapy: $150 per session.

  • Occupational Therapy: $150 per session.

  • Specialized Nursing Care: Rates vary based on required care; estimated $200 - $500 extra per month.

  • Medication Management: $100 per month for complex regimens not included in basic care.

  • Transportation Services: $50 per local trip (doctor’s appointments, shopping, etc.).

  • Guest Meals: $10 per meal.

3.3 Payment Terms: Fees are due on the first day of each month in advance. A late fee of $50 will be charged for payments received after the 5th day of the month. Interest at a rate of 1.5% per month will be charged on overdue balances exceeding 30 days.

3.4 Annual Rate Adjustment: The Facility reserves the right to adjust the rates annually to reflect changes in operating costs, not to exceed 5% per annum without additional notice.

3.5 Deposit: A one-time, non-refundable deposit of $1,000 is required at the time of signing this Contract, which will be applied towards the first month’s fee.

4. Resident Rights and Obligations

4.1 Rights: The Resident possesses the right to be treated with the utmost respect and dignity. They are entitled to receive high-quality care that addresses their unique needs. Moreover, privacy is another critical right that they are entitled to. They may participate in the planning of their care, lending their input and decision-making to ensure it is personalized to their preferences. Finally, they also have the right to be thoroughly informed about all the services that will be provided to them, along with all the costs that will be incurred, ensuring complete transparency and understanding.

4.2 Obligations: The resident has expressed agreement to adhere to all of the policies set out by the Facility. This includes respecting both the staff members who work there as well as any other residents living within the Facility. Furthermore, the resident also recognizes the obligation to make payments for all fees and charges that are accrued, doing so in a timely manner to avoid any late fees or penalties.

5. Facility's Rights and Obligations

5.1 Rights: The Facility, in its full authority, holds the right to implement and uphold its standards and regulations. Additionally, the Facility is fully equipped with the power to annul or terminate this Contract if it finds a reasonable cause to do so. Such causes may include scenarios such as the failure to disburse the necessary fees or an inability to comply with the policies and rules set forth by the Facility.

5.2 Obligations: The Facility agrees to provide care and services in accordance with professional standards, to maintain the Facility in good condition, and to respect the Resident's rights.

6. Termination

6.1 By the Resident: The individual who holds the residency may choose to end this contractual agreement in force at any given time, with the stipulation that this decision is presented in the form of a written notification that must be provided to the Facility, at a minimum of thirty (30) days before the desired termination date.

6.2 By the Facility: The Facility may terminate this Contract with thirty (30) days' written notice for reasons specified in Section 5.1 or immediately under certain conditions that pose a threat to the safety or health of residents or staff.

7. Dispute Resolution

Should any disputes or disagreements occur under the provisions of this Contract, the primary course of action to resolve will initially be attempted through a process of mediation. In the circumstances where mediation has not successfully led to the resolution of the dispute at hand, it will then be compulsory for the involved parties to resolve their disputes through arbitration. This arbitration process will be conducted strictly adhering to the established rules and regulations of the American Arbitration Association.

8. Governing Law

The laws that will preside over, govern, and guide the interpretation of this contract will be those that correspond to the state of [State]. Therefore, any interpretation of the provisions included in this agreement or any conflicts that arise from this contractual relationship will be understood and resolved under the applicable state laws of [State].

9. Amendments

This Contract holds a provision wherein amendments can only be made through a written document. Moreover, such amendments will only be considered valid and binding if they bear the signatures of both parties involved - the Facility and the Resident. If the Resident is unavailable or unable to sign, the signature of the Resident's Legal Representative will suffice.

10. Entire Agreement

The entirety of the agreement between the participating parties is included in this Contract, which holds authority over and abolishes all other agreements and understandings that have been previously made. These previous agreements and understandings may have been either verbal or in written format, but regardless, they are no longer in effect upon the implementation of this Contract.

11. Acknowledgment

The person who is the Resident, or alternately, the individual who is legally representing the Resident, acknowledges and confirms that they have indeed thoroughly read and fully comprehended the stipulations outlined in this Contract. They further avow that they have had ample opportunity to seek consultation and advice from legal counsel regarding the implications of the Contract. Ultimately, they have come to a decision and now officially agree to the terms and conditions that are outlined in this Contract.
