Travel Agency Marketing Contract
This Travel Agency Marketing Contract ("Contract") is made and entered into as of [Month, Day, Year] ("Effective Date"), by and between [Your Company Name], a company organized and existing under the laws of [Country], with its principal office located at [Your Company Address] ("Agency"), and [Your Partner Company Name / Second Party], a company organized and existing under the laws of [Country], with its principal office located at [Your Partner Company Name / Second Party Address] ("Marketer").
Recitals
WHEREAS, Agency is engaged in the business of providing travel services; and
WHEREAS, Marketer is engaged in the business of marketing services and has expertise in marketing travel services; and
WHEREAS, Agency wishes to engage Marketer to perform certain marketing services on Agency’s behalf; and
WHEREAS, Marketer is willing to undertake such marketing engagement upon the terms and subject to the conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings hereinafter set forth, the parties hereto agree as follows:
1. Scope of Services
Marketer shall provide comprehensive marketing services for Agency which shall include, but not be limited to, digital marketing, creation of advertising materials, media buying, brand strategy consultations, and conducting market research to enhance the visibility and profitability of the Agency. The detailed services to be provided will be outlined in Schedule A of this Contract.
2. Term
The term of this Contract shall commence on the Effective Date and shall continue in effect until terminated by either party with at least [0] days written notice to the other party.
3. Compensation
Agency shall pay Marketer a fee of $[Amount] for the services rendered under this Contract. Payment shall be due within [0] days of receipt of an invoice from Marketer. Additional costs for services outside of the scope described in Schedule A will be negotiated separately.
4. Confidentiality
Each party (the "Receiving Party") understands that the other party (the "Disclosing Party") has disclosed or may disclose information relating to the Disclosing Party's business (including without limitation, proprietary, and confidential information, trade secrets, and intellectual property) ("Confidential Information"). The Receiving Party agrees to take reasonable precautions to protect such Confidential Information, and not to use (except as expressly authorized by this Contract) or divulge to any third person any such Confidential Information.
5. Intellectual Property
All intellectual property rights in any work product resulting from the services provided under this Contract will be the sole property of the Agency. Marketer agrees to assign, and hereby assigns, all rights, title, and interest in and to such work product to Agency.
6. Termination
This Contract may be terminated by either party upon [0] days written notice to the other party. In the event of termination, Agency shall pay Marketer for all services rendered up to the date of termination.
7. Notices
All notices, requests, demands, and other communications hereunder shall be in writing and shall be delivered by registered or certified mail, return receipt requested, or by email, to the addresses set forth above or such other address as may be designated by either party from time to time in accordance with this section.
8. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of California.
9. Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior agreements and understandings both written and oral, among the parties with respect to the subject matter hereof.
10. Amendment
This Contract may only be amended by a written agreement duly executed by authorized representatives of the parties.
