Free Hold Harmless Agreement Form

This Hold Harmless Agreement (this "Agreement") is made by and between Company Namewith its registered address Company Address (hereinafter referred as the "Service Provider") and Clientwith its registered address Client Address(hereinafter referred as the "Client"

which individually referred to as "Party" and collectively referred to as "Parties".

WHEREAS, Service Provider shall be performing Serviceservices for the Client;

WHEREAS, in the consideration of the services specified hereto, Client wishes and desires to hold harmless the Service Provider from any liabilities or claims out of the services provided.

NOW, THEREFORE, for and in consideration of the premises herein, the Parties hereby agree as follows:

Hold Harmless Clause

Client shall be obliged to indemnify and hold harmless Service Provider for all third party claims relating to damage caused as a result of the services perform ed by Service Provider, save where such damage is caused as a result of an act or omission on the part of the board or management of Service Provider, done either with the intent to cause the damage or recklessly and with the knowledge that such damage would probably result therefrom.

The Client shall be obliged to indemnify and hold harmless Service Provider at all times and in all cases against third-party claims exceeding the total sum of Liabilities  for each occurrence or series of occurrence with the same cause. Damage shall also be understood to include damage to third parties which Service Provider is obliged to compensate, damage shall also be understood to include damage caused by death or injury and any form of financial loss.

Scope of the Agreement

This Agreement covers only the damages arising from the performance of the NameContract (shall be referred as the "Contract" hereinafter),signed between the parties on Date.

This Agreement is intended to supersede any other implied or express rights or obligations between the parties existing or arising under previous or future agreements executed between the parties. Any other damages and compensation claims that they may arise from a cause other than the Contract are reserved.

In cases where there is no provision in this Agreement, the provisions of the Contract shall apply.

This Agreement will be effective immediately upon execution.
