I. The Parties

The Marketing Agency and the Client may collectively be referred to as the "Parties" or individually as a "Party".

WHEREAS, the Client seeks to engage the Marketing Agency for marketing purposes;

WHEREAS, the Parties wish to enter into this Agreement to set forth the terms and conditions of their relationship;

NOW THEREFORE, in consideration of the mutual covenants and promises set forth herein, the Parties agree as follows:

III. Compensation

All payments shall be made in accordance with the terms outlined above unless otherwise agreed upon in writing.

IV. Term and Termination

1. Term: This Agreement shall commence on Month Day, Year and continue until Month Day, Year unless terminated earlier in accordance with this section.

2. Termination: Either Party may terminate this Agreement with No. of Days days written notice to the other Party. Termination shall not affect any obligations accrued prior to the effective date of termination.

V. Confidentiality

The Parties agree to maintain the confidentiality of all proprietary and sensitive information shared under this Agreement. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing Party.
