501(C)(7) Bylaws

Article I: Name and Purpose

1.1 Name The name of this social club shall be [Your Company Name], hereinafter referred to as the "Club."

1.2: Purpose The purpose of the Club shall be to provide a social and recreational environment for its members, fostering camaraderie and community engagement through various activities and events.

Article II: Membership

2.1: Membership in the Club shall be open to individuals who meet the eligibility criteria outlined in these bylaws and who share an interest in the Club's objectives.

2.2: Application Process Prospective members shall submit a membership application to the Membership Committee, accompanied by an annual membership fee of $50.

2.3: Membership Categories The Club may establish different membership categories, including Regular, Family, and Student memberships, each with its own rights, privileges, and dues structure, as determined by the Board of Directors.

Article III: Rights and Responsibilities of Members

3.01: Rights Members shall have the right to participate in Club activities, vote in Club elections and meetings, and enjoy all privileges afforded to their respective membership category.

3.02: Responsibilities Members shall uphold the Club's values and rules, pay annual dues promptly, and contribute positively to the Club's atmosphere and activities.

Article IV: Governance

4.1: Board of Directors The Club shall be governed by a Board of Directors consisting of elected officers, including a President, Vice President, Secretary, and Treasurer.

4.2: Duties of Officers Each officer shall have specific duties and responsibilities as outlined in the Club's bylaws and may be assigned additional tasks by the Board of Directors as needed.

Article V: Meetings

5.1: General Meetings The Club shall hold regular general meetings quarterly, on the second Saturday of January, April, July, and October, at the [Your Company Address].

5.2: Special Meetings Special meetings may be called by the President, a majority of the Board of Directors, or upon written request by 20% of the Club's voting members.

Article VI: Elections

6.1: Nominations Nominations for elected positions shall be solicited from the membership at least 30 days before the election date.

6.2: Voting Voting for elected positions shall be conducted by secret ballot, either in person or electronically, and shall be overseen by the Elections Committee.

Article VII: Finances

7.1: Dues and Fees The annual membership dues shall be $50 for Regular members, $75 for Family memberships, and $25 for Student memberships.

7.2: Fiscal Year The Club's fiscal year shall run from January 1st to December 31st, during which financial records shall be maintained and audited as necessary.

Article VIII: Amendments

8.1: Proposal Amendments to these bylaws may be proposed by any member in good standing and shall be submitted in writing to the Board of Directors for consideration.

8.2: Approval Amendments shall be approved by a two-thirds vote of the voting members present at a general meeting, provided that notice of the proposed amendments has been given at least 14 days in advance.

Article IX: Dissolution

9.1: Procedure In the event of the Club's dissolution, any remaining assets shall be distributed to one or more organizations exempt under section 501(c)(3) of the Internal Revenue Code, as selected by the Board of Directors.

Article X: Miscellaneous Provisions

10.1: Conflict of Interest Directors and officers shall disclose any potential conflicts of interest and shall refrain from participating in any decisions in which they have a personal interest.

10.2: Indemnification The Club shall indemnify and hold harmless its directors, officers, and volunteers to the fullest extent permitted by law against any liabilities, expenses, or judgments incurred in the course of their duties on behalf of the Club.

10.3: Adoption These bylaws shall be adopted upon approval by a majority vote of the voting members present at a general meeting, and shall supersede any previous bylaws or rules of the Club.

10.4: Effective Date These bylaws shall take effect immediately upon adoption.
