Alberta Societies Act Bylaws

                                                                                                                                         

Article 1: Name and Purpose

1.1 Name of the Organization: The name of the organization shall be Community Development Society, hereafter referred to as the "Society".

1.2 Legal Establishment: The Society is established under and governed by the Alberta Societies Act.

1.3 Purpose of the Society: The purpose of the Society is to promote environmental conservation through advocacy, educational programs, and community outreach initiatives.

Article 2: Membership

2.1 Eligibility and Admission: Membership in the Society shall be open to individuals who support the purpose of the organization and pay the annual membership dues.

2.2 Membership Dues: Membership dues shall be determined by the Board of Directors and may be subject to change with a majority vote of the Board.

2.3 Rights and Privileges of Members: Members shall have the right to vote on matters brought before the Society and to participate in Society activities.

2.4 Termination of Membership: Membership may be terminated for non-payment of dues, failure to uphold the values of the organization, or for other reasons as determined by the Board of Directors.

Article 3: Board of Directors

3.1 Composition of the Board: The affairs of the Society shall be managed by a Board of Directors consisting of ten (10) members.

3.2 Election and Term of Directors: Directors shall be elected by the members of the Society at the annual general meeting and shall serve a term of three (3) years.

3.3 Authority and Decision-Making Powers: The Board of Directors shall have the authority to make decisions on behalf of the Society, including but not limited to financial matters, strategic planning, and the appointment of officers.

3.4 Duties and Compensation: Directors shall act in the best interests of the Society and shall not receive any financial compensation for their services as Directors.

Article 4: Officers

4.1 Appointment of Officers: The officers of the Society shall consist of a President, Vice President, Secretary, and Treasurer, who shall be elected by the Board of Directors from among their number.

4.2 Term of Office: Officers shall serve a term of three (3) years and may be re-elected for consecutive terms.

4.3 Duties of the President: The President shall preside over meetings of the Board and general meetings of the Society.

4.4 Duties of the Vice President: The Vice President shall assume the duties of the President in their absence and shall assist the President as needed.

4.5 Duties of the Secretary: The Secretary shall be responsible for keeping accurate records of the proceedings of the Society and maintaining membership records.

4.6 Duties of the Treasurer: The Treasurer shall oversee the financial affairs of the Society and shall report on the financial status of the organization at each meeting of the Board.

Article 5: Committees

5.1 Establishment of Committees: The Board of Directors may establish committees as necessary to carry out the work of the Society.

5.2 Composition of Committees: Committees shall consist of members of the Society and may include Directors and non-Directors.

5.3 Duties and Responsibilities of Committees: Committees shall have specific duties and responsibilities as determined by the Board of Directors and shall report their findings and recommendations to the Board.

Article 6: Meetings

6.1 Annual General Meeting: An annual general meeting of the Society shall be held once per year, at a time and place determined by the Board of Directors.

6.2 Special General Meetings: Special general meetings may be called by the President or by a majority vote of the Board of Directors.

6.3 Notice of Meetings: Notice of all meetings shall be given to members in writing at least thirty (30) days in advance, stating the time, place, and purpose of the meeting.

6.4 Quorum: A quorum for any meeting of the Society shall consist of [number] members present in person or by proxy.

Article 7: Amendment of Bylaws

7.1 Procedure for Amendment: These Bylaws may be amended by a resolution passed by a majority vote of the members present at any general meeting of the Society, provided that notice of the proposed amendment has been given in the notice of meeting.

7.2 Submission of Proposed Amendments: Any proposed amendments to these Bylaws must be submitted in writing to the Secretary at least ten (10) days prior to the meeting at which they are to be considered.

Article 8: Dissolution

8.1 Distribution of Remaining Assets: In the event of dissolution of the Society, any remaining assets shall be distributed to one or more charitable organizations with similar purposes, as determined by the Board of Directors.

8.2 Prohibition of Benefit to Members and Officers: No part of the assets or net earnings of the Society shall inure to the benefit of, or be distributable to, its members, directors, officers, or other private persons, except as reasonable compensation for services rendered or expenses incurred on behalf of the Society.

Article 9: Indemnification

The Society shall indemnify and hold harmless its directors, officers, employees, and agents to the fullest extent permitted by law against all liabilities, costs, and expenses reasonably incurred by or imposed upon them in connection with any proceeding to which they may be made a party, or in which they may become involved, by reason of their status as a director, officer, employee, or agent of the Society.

Article 10: Miscellaneous

10.1 Entire Agreement and Superseding Clause: These Bylaws constitute the entire agreement between the members of the Society with respect to the governance of the organization and supersede all prior agreements and understandings, whether written or oral.

10.2 Execution in Counterparts: These Bylaws may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10.3 Governing Law: These Bylaws shall be construed in accordance with and governed by the laws of the Province of Alberta.
