Music Distribution Contract
This Music Distribution Contract ("Contract") is made and entered into as of [Date], between [Music Rights Holder's Name], located at [Address] ("Rights Holder"), and [Distributor's Name], located at [Address] ("Distributor").
I. Grant of Rights
1.1 Exclusive Rights: The Rights Holder hereby grants the Distributor the exclusive right to distribute, market, and sell the musical compositions owned or controlled by the Rights Holder ("Music Content") throughout the world in physical and digital formats.
1.2 Duration of Rights: The exclusive rights granted herein shall be effective for one (1) year, commencing on the Effective Date of this Contract.
II. Term and Termination
2.1 Initial Term: The initial term of this Contract shall commence on the Effective Date and continue for one (1) year.
2.2 Renewal: Upon expiration of the initial term, this Contract shall automatically renew for successive terms of one (1) year each, unless either party provides written notice of termination at least 30 days before the end of the then-current term.
2.3 Termination for Cause: Either party may terminate this Contract upon written notice if the other party materially breaches any provision of this Contract and fails to cure such breach within 30 days after receiving written notice thereof.
III. Delivery of Music Content
3.1 Content Specifications: The Rights Holder shall deliver the Music Content to the Distributor by the specifications provided by the Distributor, including audio files in WAV or FLAC format, along with metadata such as track titles, artist names, and album artwork.
3.2 Delivery Deadline: The Rights Holder shall deliver the Music Content to the Distributor within 30 days of the Effective Date unless otherwise agreed upon in writing by the parties.
IV. Distribution Services
4.1 Platform Placement: The Distributor shall use commercially reasonable efforts to place the Music Content on various distribution platforms and channels, including but not limited to streaming services, online retailers, and physical distribution networks.
4.2 Marketing and Promotion: The Distributor may engage in marketing and promotional activities to promote the Music Content, including social media campaigns, advertising, and playlist placements, subject to the Rights Holder's prior approval.
V. Compensation
5.1 Royalty Payments: The Distributor shall pay the Rights Holder a royalty of 70% of the Net Revenue generated from the distribution and sale of the Music Content.
5.2 Payment Schedule: Royalty payments shall be made every quarter, within 30 days following the end of each calendar quarter, accompanied by a detailed statement of account.
VI. Representations and Warranties
6.1 Ownership: Rights Holder represents and warrants that it owns or controls all rights necessary to grant the rights and licenses granted herein, and that the Music Content does not infringe upon the intellectual property rights of any third party.
6.2 Authority: Each party represents and warrants that it has the full power and authority to enter into and perform its obligations under this Contract.
VII. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, liabilities, and expenses arising out of or in connection with any breach of this Contract.
