MOBILE APPLICATION DEVELOPMENT AGREEMENT

Parties

This DEVELOPMENT AGREEMENT (“Agreement”) is by and between Jack K. Hughes (“Developer”) and Dale J. Rosales of Greater Media at 604 Juniper St., Walla Walla, Washington, 99362 (“Company”).

WHEREAS the Developer will provide custom Android and iOS apps development; maintenance and post-warranty support; consulting and prototyping; geofencing, notification and power management; native and cross-platform solutions; embedded Android and AOSP customizations; and UI/UX design.

Terms and Conditions

TERM.

This Agreement will take effect on July 24, 2031, and will continue for two (2) years thereafter unless terminated by either party through a seven (7) days’ written notice.

COMPENSATION.

The Company will pay the Developer seventy-five dollars ($75.00) per hour for the services rendered. Payment will be transferred to the Developer’s account ending in 1342.

SUPPORT PERIOD.

The Developer agrees to provide continued support for the Application System for one hundred twenty (120) days after the Android and iPhone application is successfully approved on Google Play and App Store respectively (“Support Period”). The Support Period will have no additional costs.

INTELLECTUAL PROPERTY.

The Developer hereby represents and warrants that the proposed use and use of the Client’s website or any other third party will not and does not infringe, and the Developer has not received any complaint, claim, notice, or threat alleging infringement of any patent, copyright, industrial design, trade secrets, design, or any other rights of any third party in the website, and the website use will not include any activity that may constitute “passing off.”

INDEPENDENT CONTRACTORS.

The Client agrees that the Developer will be working as an independent contractor. Both parties agree that nothing in this Agreement will be construed to create a partnership, agency, joint venture, franchise, employer-employee relationship, or any other similar relationship between the parties.

TERMINATION.

This Agreement will terminate automatically on July 24, 2033 (“Termination Date”). In the event of a material breach, the breaching party will be given seven (7) days to remedy such breach and if the breaching party fails to remedy within this period, the Company will pay the Developer all the intellectual property developed prior to the Termination Date.
