1. Purpose

The primary purpose of this Agreement is to protect and maintain the confidentiality of proprietary, sensitive, or otherwise confidential information that is exchanged between the parties in connection with the planning, development, and execution of Real Estate Construction projects.

2. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" includes, but is not limited to, all data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, by one party to the other. Specifically, this includes:

Architectural designs and plans;
Construction schedules, timelines, and methodologies;
Financial documents, including budgets, quotes, and cost analyses;
Vendor and contractor details;
Unpublished patent applications, and other proprietary or trade secret information.

3. Obligations and Restrictions

The Receiving Party agrees to:

Maintain the Confidential Information in strict confidence;
Not disclose such Confidential Information to any third parties without the prior written consent of the Disclosing Party;
Use the Confidential Information solely for the purpose of fulfilling its obligations and rights under Real Estate Construction projects related to this Agreement.

Exceptions to Confidentiality Obligations:

The obligations of confidentiality shall not apply to information which:

Is or becomes publicly known through no wrongful act of the Receiving Party;
Is independently developed by the Receiving Party without breach of this Agreement;
Is received from a third party without similar confidentiality restrictions and without breach of this Agreement.

4. Duration

This Agreement shall commence upon the Effective Date and shall continue to be in effect for a period of [Duration], unless earlier terminated by either party upon [Number] days' written notice to the other party.

5. Termination
