ASSIGNMENT OF COPYRIGHT

WHEREAS, Assignor, has authored original and creative works established in a material means of expression; and

WHEREAS, Assignee, wishes to acquire the entire rights, title, and interest in all of the said works and to any copyrights thereon arising and/or granted in the [COUNTRY/STATE/PROVINCE 1] and foreign countries.

NOW, THEREFORE, in consideration of the premises and the mutual covenants contained herein, the Assignor and Assignee agree as follows:

1. ASSIGNMENT

Assignor herein hereby unalterably assign to the Assignee all title, rights, and interest (which includes but not limited to, all rights to formulate derivative works, the copyright, all goodwill and all moral rights), in and to the Works.

2. CONSIDERATION

In consideration for the assignment as established and stipulated in Section 1, Assignor shall compensate the Assignee the sum of [NUMBER], payable on [DATE].

3. REPRESENTATION AND WARRANTIES

Assignor represents and warrants to Assignee:

• Assignor has the right, power, title, interest and authority to enter into this Agreement;
• Assignor has the sole ownership of all right, title and interest, including all intellectual property rights, in the Works;
• The Works are free of any liens,  encumbrances or licenses, security interests;
• The Works do not violate the rights or privileges of any individual or entity;
• There are no claims, pending or threatened, concerning to the Assignor’s rights in the Works;
• This Agreement is valid, legitimate, authoritative and enforceable in compliance with its terms;
• Assignor is not subject to any agreement, understanding, judgment or order conflicting with the terms of this Agreement;
• The Assignee can register and discard of the copyright in the Work in the Assignee’s own particular name.

4. ATTORNEY’S FEES    

Should either the Assignor or Assignee hereto, or any heir, personal representative, successor or assign of either party hereto, have recourse to litigation to execute this Agreement, the party that rules in such litigation shall be entitled, likewise to such other relief as may be bestowed, to reclaim its or their appropriate attorneys' fees and costs in such litigation from the party against whom obligation was obtained.

5. ENTIRE AGREEMENT

This Agreement contains the only and entire agreement and settlement between the Assignor and Assignee hereto in connection to its subject matter and supersedes all preceding or coexisting written or oral agreements, warranties or representations between the parties with reference to the subject matter hereof. 

6. AMENDMENT          

No modification, extension, renewal and/or waiver of this agreement or any of its stipulations shall be binding except when made in writing and signed on behalf of such party by one in authority to do so. 

7. SEVERABILITY          

Any invalidity, in whole or in part, of any provision of this Agreement shall not affect the validity of any other of its provisions.

8. AGREEMENT TO PERFORM NECESSARY ACTS          

Assignee agrees to perform any necessary and supplementary acts and execute and deliver any documents and records that may be agreeably necessary to carry out the stipulations of this Agreement.

9. GOVERNING LAW          

This Agreement shall be construed and enforced in accordance with, and all actions arising hereunder shall be governed by, the laws of [COUNTRY/STATE/PROVINCE].
