Agency Agreement
AGENCY AGREEMENT
This Agency Agreement (the "Agreement") is made and entered into effect on the 1st day of January 2050 (the “Effective Date”), by and between Viper Corporations, a company duly formed and existing under the laws of its country, with its principal place of business at the specified location (henceforth the "Principal"), and Mr. Harry Madison, an individual residing at the specified location (henceforth the "Agent").
1. APPOINTMENT AND AUTHORITY
1.1 The Principal hereby appoints the Agent, and the Agent hereby accepts such appointment, to serve as the Principal’s exclusive legal representative to act as a proxy for all business dealings.
1.2 The Agent shall have the authority to act on behalf of the Principal for the purposes specifically and explicitly provided in this Agreement.
1.3 The Agent’s authority under this Agreement includes, but is not limited to the following:

Engaging in negotiations and finalizing deals with third parties.

Signing contracts and business agreements.

Representing the Principal in business dealings, transactions, and disputes.
2. OBLIGATIONS OF THE AGENT
2.1 The Agent agrees to promote and execute any business opportunities in the best interest of the Principal.
2.2 The Agent pledges to uphold and maintain the highest fiduciary duties to the Principal.
2.3 The Agent is obligated to provide regular and timely reports on all matters relating to the obligations set forth in this Agreement.
3. COMPENSATION
The Principal agrees to pay the Agent a fee calculated as a fixed percentage of the value of all business dealings negotiated and signed by the Agent on behalf of the Principal. The exact percentage will be agreed upon and reviewed annually.
4. TERM AND TERMINATION
This Agreement is effective upon the Effective Date and shall continue for five (5) years unless sooner terminated by either party with a written notice thirty (30) days prior to the intended date of termination.
5. CONFIDENTIALITY
The Agent agrees to maintain the confidentiality of the Principal's business affairs, proprietary information, trade secrets, and all other confidential matters connected with the business entity.
6. GOVERNING LAW
This Agreement shall be governed by and construed under the laws of the jurisdiction where the Principal’s primary place of business is situated.
7. COUNTERPARTS AND ELECTRONIC SIGNATURE
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which, taken together, shall constitute one and the same instrument. Signed electronic copies of this Agreement transmitted by facsimile, email, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy of this Agreement.
This Agreement is signed by the duly authorized representatives of the parties involved.
