1. Parties

This agreement is entered into between ToTechniUseful, a duly incorporated corporation having its principal place of business at 606 Maple Lane, #345, Pineville, AZ 85004 (hereinafter referred to as the ‘Corporation’), and MarkyMarkets Enterprises, a registered marketing firm located at 808 Birch Avenue, Suite 45, Lakeside, AZ 85003, (hereinafter referred to as the 'Marketer').

2. Purpose of the Agreement

The purpose of this agreement is to define the terms and conditions under which the Marketer will undertake the marketing of the Corporation’s new language-learning software.

3. Scope of Services

The Marketer will provide the following services:

• Development and implementation of a comprehensive marketing plan.

• Promotion of the language learning software to targeted audiences.

• Continuous monitoring and adjustment of marketing strategies based on market response.

4. Compensation

As a full and final consideration for the performance of the services aforesaid, the Corporation shall pay to the Marketer the sum of $100,000 upon completion of the marketing campaign.

5. Term and Termination

This agreement begins on the Effective Date stated below and continues until the completion of the marketing campaign unless terminated earlier per rights and obligations in this agreement. Either party may terminate this agreement with 30 days written notice.

6. Amendments

This agreement may only be modified or amended in writing and signed by both parties.

7. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the United States and courts of Arizona shall have the exclusive jurisdiction in relation to all disputes.

8. Entire Agreement

This agreement constitutes the entire agreement between the Corporation and the Marketer and supersedes any prior understandings or agreements (whether oral or written) between the parties regarding the subject matter.
