Transfer Agreement

TRANSFER AGREEMENT

This Transfer Agreement (hereinafter referred to as the "Agreement"), made this first day of January 2050, is entered by and between Spades Real Estate, having its primary place of business at 202 Elm Street, #234, Meadowville, CA 90225 (hereinafter referred to as the "Seller") and Emily Jimenez, currently residing at 2159 Olen Thomas Drive, Boonville (hereinafter referred to as the "Buyer").

1. PROPERTY

The property situated at 2159 Olen Thomas Drive, Boonville, along with any existing buildings, fixtures, and appurtenances (collectively referred to as the "Property") will be transferred from Seller to Buyer on the Terms and Conditions mentioned herein.

2. TERMS AND CONDITIONS

  • The Seller shall deliver all necessary documentation to finalize the transfer of the title to the Buyer upon completion of payment.

  • Both parties shall cooperate in order to satisfy any due diligence that may be required by any applicable laws.

  • The Buyer shall obtain and maintain an appropriate level of insurance for the Property post-transfer.

3. REPRESENTATIONS AND WARRANTIES

The Seller represents and warrants that they have the right, power, and authority to sell the Property and that said Property is free of all encumbrances and liens, save as may be disclosed. The Buyer acknowledges they have been given a reasonable period of time to inspect the Property and all related documents before entering into this Agreement.

4. GOVERNING LAW

This Agreement shall be interpreted in accordance with the laws of the State of California. Any dispute arising out of this Agreement shall be settled by way of arbitration, in accordance with the rules of the American Arbitration Association.

5. ACCEPTANCE AND SIGNATURE

By executing this Agreement, both parties signify they have read and understood all the terms and conditions contained herein and agree to abide by them. The Agreement shall be effective from the date of signing by the last party.
