Free Protection Agreement

This Protection Agreement ("Agreement") is entered into on the 1st day of January 2050 by and between Annie Thompson (hereinafter referred to as the "Disclosing Party") and Michael Howards (hereinafter referred to as the "Receiving Party").

WHEREAS, the Disclosing Party possesses certain information and details in relation to a documentary scandal that Producer Michael is currently making, the nature of which will be shared with the Receiving Party.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Confidential Information

‘Confidential Information’ as used in this Agreement shall mean any and all technical and non-technical information provided by the Disclosing Party to the Receiving Party including, but not limited to, the secrets and the truth related to the aforementioned documentary scandal.

2. Protection of Confidential Information

During and after the term of this agreement, the Receiving Party shall:

• Keep all Confidential Information strictly confidential;

• Not disclose Confidential Information to any third parties;

• Not use the Confidential Information in any way directly or indirectly detrimental to the Disclosing Party;

3. Non-Disclosure

The Receiving Party agrees not to disclose any Confidential Information or any information derived therefrom to any third person unless the Disclosing Party gives written consent for such disclosure.

4. Agreement Duration

This Agreement shall commence upon the Effective Date and continue in full force until the completion of the documentary unless terminated sooner by either party with written notice.

5. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of California. Any disputes arising under or in any way connected with this Agreement shall be litigated or arbitrated in the state of California.

IN WITNESS WHEREOF, the Disclosing Party and the Receiving Party hereto have executed this Protection Agreement as of the date first above written.
