Free Marketing Mascot Usage Agreement

This Marketing Mascot Usage Agreement ("Agreement") is entered into on October 26, 2053, by and between:

and

Lisa Anderson, an individual with an address at 17 Fun Street, Toyland, CA 26601 hereinafter referred to as the "Mascot Creator."

Background:

The Company has created a mascot named "Buddy the Sunshine Bear" ("Mascot") for promotional and branding purposes. The Mascot has been designed by the Mascot Creator under the terms and conditions of this Agreement.

Agreement Terms:

1. Ownership:

The Mascot Creator acknowledges that the Mascot's intellectual property rights, including copyrights and trademarks, belong exclusively to the Company. The Mascot Creator agrees not to use the Mascot for any purpose other than those specified in this Agreement.

2. Usage Rights:

The Company is granted exclusive rights to use the Mascot in all marketing, advertising, promotional, and branding materials, both online and offline. The Mascot Creator grants the Company permission to modify, adapt, or enhance the Mascot as needed for marketing purposes while maintaining the core character and identity of the Mascot.

3. Duration:

This Agreement shall commence on November 1, 2053 and continue in effect indefinitely unless terminated by either party with 30 days' written notice. In the event of termination, both parties agree to provide a seamless transition of rights and responsibilities to ensure a smooth cessation of Mascot usage and design collaboration. If either party wishes to terminate this Agreement, they shall provide written notice to the other party, outlining the reason for termination and the effective date.

4. Compensation:

In consideration for the rights granted herein, the Mascot Creator shall receive compensation of $50,000.00, to be paid on quarterly basis. The Mascot Creator shall provide the Company with necessary invoicing details for payment processing. Both parties shall maintain clear records of these payments for accounting and tax purposes. It is understood that this compensation represents fair remuneration for the creation of the Mascot and grants the Company the exclusive rights to use it as outlined in this Agreement.

5. Attribution:

The Company shall credit the Mascot Creator for their design work in all marketing materials where the Mascot is used, including, but not limited to, "Mascot created by Lisa Anderson”.

6. Termination:

The Company reserves the right to terminate this Agreement at any time for any reason with 30 days written notice to the Mascot Creator. Upon termination, the Company shall have the right to continue using the Mascot as provided under this Agreement.

7. Confidentiality:

Both parties agree to keep confidential all information exchanged during the course of this Agreement, including but not limited to design concepts, files, and any proprietary information.

8. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

9. Entire Agreement:

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral.
