Free End User License Agreement

This End User License Agreement ("Agreement") is entered into as of Today's Date (the "Effective Date"), by and between ("Licensor"), a corporation under the jurisdiction of the law of the License Provider's Country, with its principal place of business at License Provider's Address (the "Licensor") and ("User"), an individual residing at User's Address (the "User").

I. Definitions

A. Software: "Software" The term refers to the software application which is provided by the entity known as the Licensor, meant for utilization on devices that are compatible with said application. Furthermore, this term also encompasses any updates or modifications to the application, also provided by the Licensor.

B. User: "User" This refers to the person or the organization/entity that is utilizing the software by the terms and conditions outlined in this End-User License Agreement (EULA).

C. License: "License" The phrase refers to the specific authorization that the Licensor has granted to the User, allowing them to use the Software. This permission to use the Software is conditional, meaning it is to be used strictly under the guidelines and conditions established within this End User License Agreement (EULA).

II. Grant of License

A. Scope of License: Subject to the terms and conditions of this EULA, the Licensor grants the User a non-exclusive, non-transferable, revocable license to use the Software for personal or commercial purposes. This license is limited to the use of the Software as provided by the Licensor and does not include any rights to sublicense, sell, distribute, or modify the Software.

B. Duration of License: The license that has been granted under the provisions of this End User License Agreement will continue to remain in effect and hold valid until such time it is terminated following the appropriate procedures and conditions laid out in Section VII of the agreement.

III. Ownership and Intellectual Property

A. Ownership: The User acknowledges that the Software and all intellectual property rights associated with it are owned by the Licensor. The User shall not acquire any ownership rights to the Software under this EULA.

B. Use of Intellectual Property: The User shall not use the Licensor's trademarks, logos, or other intellectual property without prior written consent. Any unauthorized use of the Licensor's intellectual property may result in termination of the license and legal action.

IV. Use of Software

A. Permitted Use: The User may use the Software in accordance with its intended purpose and any instructions provided by the Licensor. This includes but is not limited to installing, accessing, and using the Software on compatible devices.

B. Prohibited Use: The User shall not use the Software for any illegal, harmful, or unauthorized purpose, including but not limited to reverse engineering, decompiling, or modifying the Software. The User shall not attempt to circumvent any security measures implemented by the Licensor.

V. Updates and Support

A. Updates: The Licensor may provide updates, upgrades, or modifications to the Software at its discretion. These updates may include bug fixes, performance improvements, or new features.

B. Support: The Licensor may provide support services related to the Software as outlined in a separate support agreement. The User may contact the Licensor for assistance with installation, troubleshooting, or general inquiries related to the Software.

VI. Termination

A. Termination by Licensor: The Licensor may terminate this EULA at any time if the User breaches any of its terms. In the event of termination, the User shall cease all use of the Software and destroy all copies of the Software in their possession.

B. Termination by User: The user can bring an end to this End-User License Agreement whenever they want. The action required to do so is the removal or uninstallation of the software from their device. Furthermore, they must cease all usage of the software in question.

C. Effect of Termination: Upon termination, the User shall no longer have the right to use the Software, and all licenses granted under this EULA shall immediately terminate. The provisions of Sections III, IV, VIII, IX, and X shall survive termination.

VII. Limitation of Liability

A. No Warranty: The Software is provided "as is" without warranty of any kind, express or implied. The Licensor makes no representations or warranties regarding the accuracy, reliability, or performance of the Software.

B. Limitation of Liability: In no event shall the Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Software, including but not limited to loss of data, loss of profits, or business interruption.

VIII. Governing Law and Dispute Resolution

A. Governing Law: This EULA shall be governed by and construed following the laws of [Jurisdiction]. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

B. Dispute Resolution: Any claims, disputes, or issues that arise from this EULA or use of the Software should be resolved through mediation or peaceful negotiation. If these measures fail, the issue may be escalated to a court of competent jurisdiction in the Licensor's locale.

IX. Miscellaneous

A. Entire Agreement: This EULA constitutes the entire agreement between the parties regarding the use of the Software and supersedes all prior agreements and understandings, whether oral or written.

B. Severability: If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

C. Waiver: The failure of either party to enforce any provision of this EULA shall not constitute a waiver of that provision or any other provision of this EULA.
