Free End User Agreement

This End User Agreement ("Agreement") is entered into on this 20th day of January 2050 by and between [Your Company Name], ("Service Provider") and the end user [User Name] ("User"). This Agreement governs the use of the software provided by the Provider.

1. Terms of Use

1.1 The User acknowledges that the software provided by the Provider or Licensor is licensed, not sold, and the User's rights to use the software are subject to the terms and conditions outlined in this Agreement.

1.2 The User agrees to use the software solely for their personal or internal business purposes and not for any commercial purposes or in any manner that violates applicable laws or regulations.

2. Grant of License

2.1 Provided User is not in breach of any terms or conditions herein, Service Provider or Licensor hereby grants User a non-exclusive, non-transferable right to install and use the specified software.

2.2 This License is granted for the lifetime of the software unless terminated earlier according to the terms of this Agreement.

3. Intellectual Property Rights

3.1 All title, ownership rights, and intellectual property rights in and to the software shall remain vested in the Provider.

3.2 The User acknowledges that they do not acquire any ownership rights to the software except for the limited license granted herein.

4. Restrictions

The User shall not:

a. Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the software.

b. Rent, lease, lend, sell, redistribute, or sublicense the software.

c. Remove any proprietary notices or labels on the software.

5. Warranty and Liability

5.1 The Service Provider or the Licensor are the ones who are offering the software to the User with an "as is" disclaimer. This means that they do not provide any warranty or assurance that this software will successfully meet the specific requirements that the User might have.

5.2 Furthermore, there is also no promise or guarantee that the software will operate seamlessly without any disruptions or errors. Therefore, the User must know that in any situation where there's any form of personal injury or any incidental, special, indirect, or consequential damages, the Service Provider or the Licensor will not be held liable or responsible to any extent.

5.3 This non-liability of the Service Provider or the Licensor is strongly recognized and supported by the law to its maximum possible extent.

6. Termination

6.1 This Agreement shall remain in effect until terminated by either Licensee or Licensor. Licensor may terminate this Agreement at its sole discretion if Licensee fails to comply with any term of this Agreement.

6.2 Upon termination of this Agreement, the license granted hereunder shall be terminated and the Licensee shall immediately cease all use of the Software.

7. Governing Law

7.1 This Agreement shall be governed by and construed following the laws of [Jurisdiction].

7.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
