Free Supplier Agreement

I. Agreement Overview

This Supplier Agreement ("Agreement") is made and entered into on this 21st day of August 2050, by and between [Your Company Name], having its principal place of business at [Your Company Address] ("Supplier"), and Apex Manufacturing Inc., having its principal place of business at 123 Industrial Drive, Suite 400, Denver, CO 80202 ("Buyer"). The purpose of this Agreement is to set forth the terms and conditions under which the Supplier will provide goods and/or services to the Buyer.

II. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

III. Scope of Supply

1. Goods and Services

   • Description of Goods: Precision-engineered components including but not limited to bearings, gears, and hydraulic parts.

   • Description of Services: Installation and maintenance services for machinery and equipment.

2. Specifications

   • The goods and/or services must meet the specifications outlined in Exhibit A (attached hereto).

3. Delivery Schedule

   • Delivery of Goods: All goods must be delivered within 30 days of order confirmation.

   • Provision of Services: Services to be performed within 15 days of scheduled dates.

IV. Pricing and Payment Terms

1. Pricing

   • The price for the Goods and/or Services is as specified in Exhibit B (attached hereto).

2. Payment Terms

   • Payments shall be made within 30 days from the date of invoice.

3. Late Payment

   • Any late payments will incur a late fee of 1.5% per month.

V. Obligations of the Supplier

1. Quality Assurance

   • The Supplier shall ensure that all goods and services comply with the quality standards as outlined in this Agreement.

2. Compliance

   • The Supplier agrees to comply with all applicable laws and regulations.

3. Insurance

   • The Supplier shall maintain adequate insurance coverage for all goods and services provided under this Agreement.

VI. Term and Termination

1. Term

   • This Agreement shall commence on September 1, 2050, and continue until August 31, 2051, unless terminated earlier in accordance with this Section.

2. Termination for Convenience

   • Either party may terminate this Agreement for convenience by providing 60 days written notice to the other party.

3. Termination for Cause

   • This Agreement may be terminated for cause if either party breaches any material term or condition and fails to remedy such breach within 15 days of receiving written notice of such breach.

VII. Confidentiality

1. Confidential Information

   • Both parties agree to keep confidential all proprietary information received from the other party.

2. Non-Disclosure

   • The Supplier agrees not to disclose any confidential information to third parties without prior written consent from the Buyer.

VIII. Dispute Resolution

1. Governing Law

   • This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.

2. Dispute Resolution Process

   • Any disputes arising under this Agreement shall be resolved through arbitration before resorting to litigation.

IX. Miscellaneous

1. Amendments

   • Any amendments to this Agreement must be made in writing and signed by both parties.

2. Entire Agreement

   • This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

3. Severability

   • If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
