Free Transfer of Ownership Agreement

I. Introduction

This Transfer of Ownership Agreement ("Agreement") is made and entered into on this December 15, 2050, by and between Barry Morar, of Charlotte, NC 28202, ("Transferor") and Jerrell Lowe, of St. Louis, MO 63101, ("Transferee"). The parties hereby agree to the terms and conditions set forth in this document for the transfer of ownership of certain assets, as detailed below.

II. Description of Asset

The Transferor agrees to transfer ownership of the following asset(s) to the Transferee:

III. Transfer Price and Payment Terms

The agreed purchase price for the asset(s) being transferred is $325,000 (Three Hundred Twenty-Five Thousand Dollars). The payment will be made as follows:

• A deposit of $50,000 will be paid by the Transferee to the Transferor upon execution of this Agreement.

• The remaining balance of $275,000 will be paid by January 15, 2051, by wire transfer to the following account:

IV. Warranties and Representations

1. Transferor’s Warranties:
   The Transferor warrants that they are the sole owner of the asset(s) being transferred and that the asset(s) are free from any liens, encumbrances, or claims. The Transferor further warrants that the asset(s) are in good condition, as described above.

2. Transferee’s Warranties:
   The Transferee warrants that they have reviewed the condition of the asset(s) and agree to accept them as-is, based on the representations provided by the Transferor.

V. Rights and Responsibilities of the Parties

• Transferor’s Responsibilities:
  The Transferor shall deliver the asset(s) to the Transferee on or before December 20, 2050, at which point ownership shall be deemed transferred.

• Transferee’s Responsibilities:
  The Transferee shall make full payment in accordance with the terms set forth in this Agreement and shall assume all rights and responsibilities associated with the asset(s) upon transfer of ownership.

VI. Legal Compliance

Both parties agree to comply with all applicable laws and regulations regarding the transfer of the asset(s), including any required documentation or filings. The Transferor is responsible for providing the necessary documents for transferring title and ownership of the asset(s) to the Transferee, including but not limited to deed transfers and title certificates.

VII. Dispute Resolution

In the event of any dispute arising out of or relating to this Agreement, the parties agree to attempt to resolve the matter through mediation before proceeding to litigation. Should mediation fail, the dispute will be submitted to binding arbitration under the rules of the American Arbitration Association.

VIII. Conclusion

This Agreement represents the complete understanding between the Transferor and the Transferee regarding the transfer of ownership of the asset(s) described herein. By signing below, both parties affirm their understanding and acceptance of the terms outlined.
