Free Services Trade Agreement

I. INTRODUCTION

This Services Trade Agreement (the “Agreement”) is entered into as of the 12th day of December, 2056, by and between [YOUR COMPANY NAME], a company organized and existing under the laws of the United States, with its principal office located at [YOUR COMPANY ADDRESS] (hereinafter referred to as the "Client"), and Bontora, a company organized and existing under the laws of California, with its principal office located at Irvine, CA 92602 (hereinafter referred to as the "Service Provider"). The Client and the Service Provider may collectively be referred to as the "Parties" or individually as a "Party."

II. RECITALS

WHEREAS, the Client wishes to engage the Service Provider to perform certain services as defined herein;

WHEREAS, the Service Provider has represented that it possesses the necessary qualifications, experience, and capability to provide such services;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

III. DEFINITIONS

1. Services: "Services" shall refer to the specific services to be provided by the Service Provider as outlined in Exhibit A attached hereto.

2. Commencement Date: The date on which the Service Provider will commence performance of the Services shall be January 15, 2057.

3. Completion Date: The date on which the Services are expected to be completed shall be June 15, 2057.

4. Fees: The compensation for Services rendered shall be outlined in Exhibit B attached hereto.

IV. SCOPE OF SERVICES

The Service Provider agrees to perform the following services for the Client:

1. Description of Services:

   • Development of a custom software application for project management.

   • Integration of third-party APIs for enhanced functionality.

   • Ongoing technical support and maintenance for one year post-launch.

2. Deliverables:

   • A fully functional software application.

   • User documentation and training materials.

   • Monthly progress reports during development.

3. Key Performance Indicators (KPIs):

   • Timely delivery of milestones as per schedule.

   • User satisfaction rating of at least 85% upon project completion.

V. COMPENSATION

1. Payment Terms: The Client agrees to pay the Service Provider as follows:

   • Total Fee: $150,000

   • Payment Schedule:

     • 25% upon signing this Agreement.

     • 25% upon delivery of the first prototype.

     • 25% upon completion of testing phase.

     • 25% upon final delivery and acceptance.

2. Taxes: All fees are exclusive of taxes, which shall be borne by each Party as applicable.

VI. OBLIGATIONS OF THE PARTIES

1. Client Obligations: The Client shall provide all necessary information and access required for the Service Provider to perform its obligations.

2. Service Provider Obligations: The Service Provider shall perform the Services in a professional manner consistent with industry standards.

VII. INTELLECTUAL PROPERTY

Any intellectual property created during the performance of this Agreement shall be owned by [YOUR COMPANY NAME], with appropriate licensing granted to Bontora for use in their portfolio.

VIII. CONFIDENTIALITY

Each Party agrees that it will not disclose any confidential information received from the other Party without prior written consent.

IX. TERMINATION

This Agreement may be terminated by either Party upon written notice if:

1. The other Party breaches any material term of this Agreement.

2. Either Party becomes insolvent or files for bankruptcy.

X. INDEMNIFICATION

Each Party agrees to indemnify and hold harmless the other Party from any claims arising out of its own negligence or willful misconduct in connection with this Agreement.

XI. FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, or natural disasters.

XII. DISPUTE RESOLUTION

In case of any disputes arising out of this Agreement, the Parties agree to attempt resolution through mediation before proceeding to arbitration or litigation.

XIII. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior agreements or understandings.

XIV. AMENDMENTS

This Agreement may only be amended in writing signed by both Parties.

XV. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of California.

XVI. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
