Free Broker Relationship Agreement

This Broker Relationship Agreement ("Agreement") is entered into as of December 15, 2066, by and between [YOUR COMPANY NAME] ("Company") and Jacklyn Lockman ("Broker").

I. RECITALS

WHEREAS, the Company is engaged in business development and market expansion consulting and seeks to engage the Broker to assist in sourcing and securing new client contracts;

WHEREAS, the Broker represents and warrants that they have the necessary qualifications, expertise, and resources to provide such services;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

II. SCOPE OF SERVICES

1. The Broker shall provide the following services:

   • Identifying and reaching out to potential clients for the Company.

   • Negotiating initial contract terms with potential clients.

2. The Broker agrees to perform the services in a professional manner consistent with industry standards.

III. COMPENSATION

1. The Company agrees to compensate the Broker as follows:

   • A commission of 10% of the gross revenue generated from each new client secured by the Broker.

   • Payment shall be made within 30 days of receipt of payment from the client.

2. Any expenses incurred by the Broker must be pre-approved in writing by the Company to be eligible for reimbursement.

IV. TERM AND TERMINATION

1. This Agreement shall commence on January 1, 2067 and continue until December 31, 2067, unless terminated earlier by either party.

2. Either party may terminate this Agreement by providing 30 days written notice to the other party.

3. Upon termination, the Broker shall return all materials and confidential information belonging to the Company.

V. CONFIDENTIALITY

1. The Broker acknowledges that during the course of this Agreement, they may have access to confidential and proprietary information of the Company.

2. The Broker agrees not to disclose or use any such information for any purpose other than as required to perform the services under this Agreement.

VI. REPRESENTATIONS AND WARRANTIES

1. The Broker represents and warrants that:

   • They have the authority to enter into this Agreement.

   • Their performance under this Agreement will not breach any other agreement to which they are a party.

2. The Company represents and warrants that:

   • It has the authority to engage the Broker.

   • It will provide all necessary information and support to enable the Broker to fulfill their obligations under this Agreement.

VII. INDEMNIFICATION

1. The Broker agrees to indemnify and hold harmless the Company and its officers, directors, and employees from any claims, liabilities, or damages arising out of or in connection with the Broker's performance under this Agreement.

2. The Company agrees to indemnify and hold harmless the Broker from any claims, liabilities, or damages arising out of the Company's breach of this Agreement.

VIII. GOVERNING LAW AND DISPUTE RESOLUTION

1. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee.

2. Any disputes arising out of this Agreement shall be resolved through mediation, and if unresolved, binding arbitration in the jurisdiction of Knoxville, Tennessee.

IX. GENERAL PROVISIONS

1. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

2. Amendments: Any modifications to this Agreement must be made in writing and signed by both parties.

3. Assignment: Neither party may assign their rights or obligations under this Agreement without the prior written consent of the other party.

4. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
