Free Parking Facility Agreement

1. Purpose

This Parking Facility Agreement ("Agreement") is entered into as of the Effective Date, by and between the following parties: Corporacity ("Owner"), with its principal place of business at Dallas, TX 85224, and Dexter Dicken ("Licensee"), with its principal address at Peoria, AZ 85345. The purpose of this Agreement is to set forth the terms and conditions under which the Licensee is permitted to use the parking facilities owned or operated by the Owner.

2. Parking Facility

The parking facility, located at Dallas, TX 85224, consists of 1 parking space. This facility shall be accessible to the Licensee for parking purposes in accordance with the terms of this Agreement.

2.1 Access and Use

The Licensee is granted non-exclusive access to use the designated parking spaces at the parking facility during the operating hours which are 7:00 AM - 10:00PM, subject to any other conditions set forth by the Owner.

2.2 Parking Fees

The Licensee agrees to pay a monthly fee of $250 for the use of the parking facility. Payment shall be due on the 25th day of each month. Any late payments may incur additional fees as specified by the Owner.

2.3 Maintenance and Responsibilities

The Owner shall be responsible for maintaining the parking facility, including but not limited to lighting, surface repair, and signage. The Licensee agrees to comply with all facility rules and regulations and to maintain the space assigned to them in a clean and orderly condition.

3. Term

This Agreement shall commence on the Effective Date and shall continue in effect on a month-to-month basis unless terminated by either party in accordance with the termination provisions stated herein.

4. Termination

Either party may terminate this Agreement by providing at least 10 days' written notice to the other party. Additionally, the Owner may terminate this Agreement immediately in the event of the Licensee's failure to comply with any term or condition of this Agreement.

5. Liability

The Licensee agrees to indemnify and hold harmless the Owner from any claims, liabilities, damages, or actions arising out of or relating to the Licensee’s use of the parking facility. The Owner shall not be liable for any loss, theft, or damage to vehicles or personal property left in the vehicles.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Texas. Any disputes arising from this Agreement shall be resolved in the courts of Texas.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior negotiations, commitments, and writings.

8. Amendments

This Agreement may only be amended or modified by a written instrument executed by both parties.
