Free Manufacturing and Supply Agreement

This Manufacturing and Supply Agreement ("Agreement") is entered into as of this [date] by and between [Your Company Name], a [State] corporation with its principal place of business at [Your Company Address] ("Manufacturer") and TurboNow, a [State] corporation with its principal place of business at Anchorage, AK 99501 ("Supplier").

1. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which Manufacturer will manufacture and supply certain products to Supplier.

2. Definitions

2.1 "Product"

The term "Product" shall refer to [Description of Product], as further described in Exhibit A attached hereto.

2.2 "Specifications"

3. Obligations of Manufacturer

5. Term

6. Payment Terms

Supplier shall pay Manufacturer for the Products according to the prices and payment terms set forth in Exhibit D.

7. Confidentiality

8. Termination

Either party may terminate this Agreement upon written notice to the other party if the other party breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after notice thereof.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.

10. Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings between them. No amendments or modifications shall be binding unless in writing and signed by both parties.
