Free Subscription Agreement

1. Agreement Terms

• The Investor shall submit payment for the Securities in full at the time of subscription, by wire transfer.

2. Representations and Warranties

• The Company is duly organized, validly existing, and in good standing under the laws of [State/Country].

• The Company has all necessary power and authority to enter into and perform its obligations under this Agreement.

2.3. By the Investor

• The Investor has full power and authority to enter into this Agreement and to perform its obligations hereunder.

• The Investor has conducted sufficient due diligence on the Company and the Securities and acknowledges the risks associated with the investment.

3. Covenants

The Company shall use the proceeds from the sale of Securities for the purposes specified in its business plan. b. The Company shall provide the Investor with any information reasonably requested regarding the Company's operations and financial condition.

4. Closing

• The closing of the purchase and sale of the Securities shall take place on May 1, 2050, at a mutually agreed location.

• At the closing, the Company shall deliver to the Investor certificates or electronic records representing the Securities purchased.

5. Governing Law and Jurisdiction

This Agreement shall be governed by and construed by the laws of [State/Country]. Any disputes arising under or in connection with this Agreement shall be resolved exclusively by the courts of [State/Country].

6. Entire Agreement
