Free Data Sharing Agreement

THIS DATA SHARING AGREEMENT (hereinafter referred to as the "Agreement") is entered into on this first day of March 2050, (the "Effective Date") by and between the following parties:

Pinpoint Research Institute

"Recipient"
Zer0nes Solutions
876 Celestial Circle, Unit 88, Starlight Square, CA 12345

Purpose of the Disclosure

The purpose of this Agreement is to set forth the terms and conditions under which the Data Provider will share certain data with the Recipient in order to enhance healthcare predictions through joint machine learning research.

Data to be Disclosed

The Provider will disclose the following types of data:

• Patient demographics

• Medication and prescription records

• Clinical notes and records

• Laboratory results

Use of Data

The Recipient shall use the Data only for the purposes of conducting, publishing, and presenting research, all in accordance with the laws and regulations.

Confidentiality

The Recipient shall undertake all necessary measures to ensure the confidentiality and security of the Data and shall not disclose any of the Data to third parties without the Provider’s prior written consent.

Ownership Rights

All data shared under this Agreement shall remain the property of the Data Provider.

Duration and Termination

This Agreement shall have a term of one (1) year from the Effective Date, subject to earlier termination in accordance with this Agreement.

Indemnification

The Recipient shall indemnify the Provider from any damage, loss, or expense arising from a breach of this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the country of the Data Provider. Any disputes arising from this Agreement shall be resolved through mediation or by a competent court in the Data Provider’s country.

By signing below, the parties hereto have agreed to all terms and conditions of this Agreement.
