Free Sample Consignment Agreement

1. Introduction

This Consignment Agreement (hereinafter referred to as "Agreement") is entered into as of the 19th day of March, 2068, by and between [Your Company Name], having its principal place of business at [Your Company Address] (hereinafter referred to as "Consignor"), and Blitzcraft, having its principal place of business at Corpus Christi, TX 78401 (hereinafter referred to as "Consignee").

2. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which Consignor shall provide goods to Consignee on a consignment basis, and Consignee shall sell the goods to third parties.

3. Consignment of Goods

3.1 Description of Goods

The goods to be consigned under this Agreement are described in Exhibit A attached hereto and incorporated herein by reference (hereinafter referred to as "Goods").

3.2 Delivery and Acceptance

Consignor shall deliver the Goods to Consignee at the address specified above. Consignee shall inspect the Goods upon delivery and notify Consignor in writing of any discrepancies or defects within 15 days of receipt.

4. Title and Risk of Loss

Title to the Goods shall remain with Consignor until sold by Consignee. Consignee shall bear the risk of loss or damage to the Goods while they are in its possession, custody, or control.

5. Sale of Goods

Consignee shall sell the Goods on behalf of Consignor at the prices and terms established by Consignor. Consignee agrees to promote and sell the Goods using all reasonable efforts to achieve sales.

6. Payment and Consignment Fee

Upon sale of the Goods, Consignee shall pay Consignor the proceeds from the sale, less any agreed consignment fee, within 30 days of the sale. The consignment fee is outlined in Exhibit B attached hereto.

7. Term and Termination

This Agreement shall commence on the effective date and continue until terminated by either party with 14 days written notice. Upon termination, Consignee shall return all unsold Goods to Consignor.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State Name], without regard to its conflict of law principles.
