Free Non Compete Agreement

THIS NON-COMPETE AGREEMENT (the "Agreement") is made this 1st of January, 2050.

BETWEEN:

[EMPLOYER], a corporation duly incorporated under the laws of the [State/Country], having a place of business at [Your Company Address] (the "Company");

AND:

[CONTRACTOR], a corporation duly incorporated under the laws of the [State/Country], having a place of business at [Your Company Address] (the "Contractor/Employee").

1. Purpose

This Agreement aims to safeguard the genuine business interests of the Company. It seeks to achieve this by prohibiting the Employee from participating in activities that would compete with the Company's interests during their period of employment, as well as once their employment or contractual relationship with the Company has been terminated. This is a proactive approach designed to ensure that the Company's business interests are not compromised or endangered in any way by the Employee's potential participation in competitive activities.

2. Non-Compete Covenant

a. During Employment: The Employee agrees that, during the term of their employment/contract with the Company, they shall not engage in any activity or employment that competes with the business interests of the Company within [Geographic Area], or in any other location where the Company conducts business.

b. Post-Employment: Following the termination of their employment/contract with the Company, the Employee agrees not to directly or indirectly engage in any competitive business activities within 2 (two) years within the aforementioned geographic area.

3. Confidentiality Obligations

The Employee acknowledges that during their employment/contract, they may have access to confidential information and trade secrets of the Company. The Employee agrees to maintain the confidentiality of such information both during and after their employment/contract with the Company.

4. Non-Solicitation of Clients/Customer

The Employee agrees not to directly or indirectly solicit or conduct business with any clients or customers of the Company with whom the Employee had contact during their employment/contract with the Company, for 2 (two) years following the termination of their employment/contract.

5. Severability

If any provision contained within this Agreement is found or determined to be either invalid or unenforceable due to legal restrictions or discrepancies, it should be explicitly understood that all of the other remaining provisions contained within this Agreement will continue to uphold their validity and will also remain fully enforceable in accordance to the maximum extent that is allowed by the governing law.

6. Governing Law

The principles and stipulations outlined in this Agreement shall fall under the jurisdiction and be interpreted in alignment with the operational laws and legal principles established in [Jurisdiction]. This agreement will not take into consideration any conflicts with the principle laws of the mentioned jurisdiction concerning its application and interpretation.

7. Entire Agreement

This Agreement serves as the ultimate and complete understanding between the involved parties concerning the subject matter it contains. It takes precedence over and replaces any prior agreements, understandings, negotiations, and discussions that have taken place between these parties. This holds regardless of whether these prior exchanges occurred verbally or were recorded in written form.

8. Signatures

This Agreement is permitted to be executed in segments or counterparts, where each counterpart shall independently be regarded as an original copy. Nonetheless, when combined, each of these individual counterparts comes together to form one collective document or instrument. Therefore, while every counterpart is deemed an original, all counterparts together shall be considered one single, identical instrument.
