This Employee Non-Compete Agreement ("Agreement") is entered into as of this day of [Date] by and between [Your Company Name], a corporation organized under the laws of [State], with its principal place of business at [Your Company Address], hereinafter referred to as "Company", and [Your Partner Company Name], with its principal place of business at [Your Partner Company Address], hereinafter referred to as "Employee".

1. NON-COMPETE

2. NON-SOLICITATION

The Employee is obligated not to solicit, nor attempt to solicit, any clients, customers, or business opportunities away from the Company with the intent of offering or endorsing products or services that are in direct competition with those offered by the Company. This prohibition extends for a specified period following the Employee's departure from the Company, as detailed within this Agreement, to ensure the Company's customer relationships and market position are not undermined by former employees.

3. CONFIDENTIALITY

Throughout the duration of their employment, and beyond as specified, the Employee must safeguard and refrain from disclosing any confidential information acquired during their tenure. Confidential information encompasses, but is not limited to, customer databases, trade secrets, intellectual property (including innovations, formulas, and business practices), and other data deemed proprietary by the Company. This clause aims to protect the Company's competitive advantage and maintain the integrity of its confidential operations and strategies.

4. TERM

This Agreement becomes effective upon the Employee's commencement of employment with the Company and remains in force for five (5) years following the cessation of the Employee's tenure.
